The memorandum of association - its legal nature, essentials, form and function

The thesis presents an analysis of the Memorandum of Association issue. A Memorandum of Association is entered into by the founders of business companies; it is a prerequisite of incorporation of a company and forms the foundation of its future existence. Basically, a Memorandum of Association fulfils two fundamental functions, firstly the incorporation function and the organisational function. Within the framework of the incorporation function, it is necessary that the contract contain a provision for all issues significant for the company's establishment and incorporation. The other function is discharged by governing the internal situation in the company, activities of the corporate bodies (authorised representative body, supervisory board or general meeting) along with the company's external relationships. If the Memorandum is entered into by two or more participants, it is called Memorandum of Association; where the law allows the contract to be executed by a single participant (nowadays for limited liability companies only) the contract is called Letter of Incorporation. The Commercial Code stipulates the material elements of Memoranda of Association in the provisions on the relevant specific types of business companies concerned. Tests from the introductory course Calculus

The aim of this thesis is to didactically properly assemble a set of exercises and tests form the field of Mathematical Analysis. Examples will be based on themes: real-valued functions of a real variable and its properties, limits and continuity of a function, derivative of a function and course of a function. Moodle software will be used to randomly generate specific tests in a way that from each set will be generated certain number of exercises. In addition to the test assignments this thesis will include their detailed solutions. This thesis will work as an individual preparation for the exam in mathematical analysis or the exam itself.
