Foundation and origin of a trading company

This bachelor thesis is focused on the aspects of foundation of a trading company. The aim of this thesis is to enlighten the essence of particular legal forms of national as well as transnational trading companies which are regulated by the Czech legal system, namely to explain their legal regulation, from which the conditions and specifics of companies' foundation result. To create a compact unit involving all items that are connected with the subject matter, there are also key-words explained and institutions introduced in the forepart of this thesis which are related to the matter of companies' foundation and origin. This main subject matter therefore combines general information about the legal regulation, division of trading companies and key-words such as business assets, business property, capital stock and related stocks and others. Attention is also given to the Companies register, which has cardinal importance for the origin of the company in the Czech Republic. To comprehend gained theoretical knowledge and information better, the process of practical foundation and origin of a trading company in ČR is described in the last part of this thesis.
The Process of Forming a Private Limited Liability Company

The purpose of this dissertation is to describe the process of forming a private limited liability company (private L.L.C. or private LLC), which is the most common form of a legal business entity. The first part focuses on the general characteristics of a private LLC and summarizes the advantages and disadvantages of this form of legal entity. Next, the Commercial Register and a description of its benefits will be introduced during the "establishing process," which also explains the necessary behaviours, conditions, documents and steps one must take and the obstacles one might encounter while establishing the company. For a clearer understanding, I will illustrate the process with an existing company and I will try to calculate its costs. Finally, I will include other possibilities of forming a private LLC using the "purchase intermediary," i.e., a third party that handles the forming of the company for the purpose of its resale.
The Process of Forming a Private Limited Liability Company

This dissertation is dedicated to the process of forming a private limited liability company. First a private limited company is characterized. The second chapter deal with the forming and establishment of the company. For a clearer understanding, the whole process is illustrated with a concrete example. Finally, the main costs are calculated.
The Foundation and Origin of the Joint-stock Company

The bachelor's work deals with the foundation and origin of the joint stock company. In the introduction there are stated the necessities of the founding document and the two methods of the foundation of the joint stock company - the foundation with the public offer of shares and foundation without the public offer of shares. In the next chapter the process of submission of the proposal for registration of the joint stock company to the Commercial Register and the origin of the joint stock company are described. The example of the foundation of existing joint stock company is mentioned at the end of the work.
Comparison of the enterpreneurship in the Czech Republic and Austria

This work is concerned with the comparison of the entrepreneurship in the Czech Republic and in Austria from the legal point of view. The first two chapters deal with the possibilities of carrying out business as a sole trader and the possibilities of establishing various kinds of companies, that may be established according to Czech and Austrian law. The whole work is mainly focused on legal entities. Private bodies are just mentioned in the first two chapters. The following chapters are concerned with the mostly used forms of companies (legal entities) with regard to the rights and duties of the founders and partners participating in a company. Each part is separately concerned with founding or establishing companies and with the rights of the founders respectively of the owners of each legal form of companies. In particular cases, where the companies have to establish bodies, e. g. the board of directors, the tasks and rights of these bodies are mentioned. Last but not least the practice use of the different legal forms of companies is compared. Enclosures shall depict the great variety of possibilities of carrying out business or establishing companies according to Austrian law and show the main differences between the legal entities.
The Establishment and Development of a Private Limited Liability Company

This bachelor dissertation is dedicated to the process of establishment and development of one of the most often utilized legal forms - that of a private limited liability company. The main goal of this dissertation is to offer as much information, so as even a reader who is not familiar with all the legal regulations would know, what all is needed for a proper establishment and subsequent development of this legal structure. Except for the process of establishment and development of the private limited liability company itself, there is also attention paid (with regards to the satisfaction of the mentioned goal) to other with this problem related questions. At the beginning there is a definition of the terms company and business law, then an explanation of other basic business law's terms follows, there is also a basic characterization of a private limited liability company and some non-juridical aspects of the establishment and development of this legal form cannot be missing, too. And finally, there is also some practice of the business courts added at the end of the paper. This practice concerns some more or less serious faults which can come during the process of the establishment and development of a private limited liability company.
Trade business in the Czech Republic

The objective of my work was to describe trade business in the Czech Republic. At first I focused on the definitions of the basic conceptions according to The Trades Licensing Act, also what sections this Act has and which relationships are regulated by the Act. Next I featured conditions of trade business for the foreign persons in the Czech Repubilc, especially I described which documents have to be offered by the foreign persons and which requirements have to be met in order to get trade licence. In conclusion I mentioned the statistical datas about the foreign persons carrieng trade business in the Czech Republic
Licensed Trades in the Czech Republic

The objective of the thesis was a basic characteristic of licensed trades in the Czech Republic. The thesis deals with the historical evolution of the trade law, it also defines the basic concepts and institutes of trade activities, as subjects of trade law, trade licence, conditions of licensed trades etc. The part of thesis is focused on state control of licensed trades. I described legal regulation, public authorities, which exercise it, control process and the others, which relate to this control. In conclusion I compared statistics of three Trade Licence Offices refered to kontrol of licensed trades.
Licensed Trades in the Czech Republic

The thesis focuses on the current situation of legal regulation of small trades in the Czech Republic, in particular on the impacts following the so far latest of the more complex amendments of the trade law, implemented by the Act no. 130/2008 Coll. The sense of this amendment was to simplify the starting of trade activities and in maximal degree ease the bureacratic burden of businessmen in their contacts with Trade Licencing Offices. The most important changes brought by this amendment are described in the succession and context of the Trades Licencing Act content as a whole. The thesis deals with the historical evolution of the trade law,it also defines the basic concepts and institutes of trade activities, as subjects of trade law, trade licence, the Trades Register, Trade Licence Offices etc. The last part of the thesis delivers the results of a survey carried out among the traders and Trade Licence Offices.
Advantages and disadvantages of the enterpreneurship in the individual legal forms of the companies

The goal of this work is to provide an overview of the main advantages and disadvantages of the enterpreneurship in the individual legal forms of the companies. The attention is paid to Partnership, Limited Partnership, Limited Liability Company and Joint-Stock Company. The main intention is reached by the comparison of the fundamental characteristics of the companies which are mentioned above. Each chapter describes certain comparable factor which reveals the most important differences of each form of the company. I have tried to suggest possible pros and cons which are connected with them. The whole overview of the characteristics, advantages and disadvantages is presented in the attachements.
