Comparison of business in the Czech rep. and Slovak rep.

This work deals with comparison of business in the Czech and Slovak Republics, focusing on a limited company and specifically on the comparison of the possible ways and conditions of its acquisition in both states. The first chapter is devoted to the characteristics of some basic concepts, the second chapter the description of the legal forms of business in the CR and the third focuses on the general characteristics of the company. In the fourth and fifth chapter lists analyzed by a public company and limited partnership under the laws of both states. The sixth chapter focuses on the core theme of work and it is a limited liability company, a detailed analysis Ltd. under the laws of both countries and a description and comparison of ways to within Ltd. start a business. Gradually options are compared to set up Ltd. in both countries by self-help, by consulting firms and buy ready made Ltd. together with a practical comparison of prices of the services. The seventh chapter is devoted to the joint-stock company and its modification in the law of the CR and SR. The last chapter is a comparison of Czech and Slovak Republic in terms of their tax burden and agenda.

This diploma thesis describes the regulation of Limited liability company in the law of Czech republic and Germany. As the focus is on main characteristics of this legal form, the thesis describes the proces of establishment of a company, relations of company and its owners and rights and obligations of company's representatives. The diploma thesis provides overwiev of regulation of this widely-used legal form and summarises the main differences between Czech and German version of Limited liability company.
The Process of Forming a Private Limited Liability Company

The purpose of this dissertation is to describe the process of forming a private limited liability company (private L.L.C. or private LLC), which is the most common form of a legal business entity. The first part focuses on the general characteristics of a private LLC and summarizes the advantages and disadvantages of this form of legal entity. Next, the Commercial Register and a description of its benefits will be introduced during the "establishing process," which also explains the necessary behaviours, conditions, documents and steps one must take and the obstacles one might encounter while establishing the company. For a clearer understanding, I will illustrate the process with an existing company and I will try to calculate its costs. Finally, I will include other possibilities of forming a private LLC using the "purchase intermediary," i.e., a third party that handles the forming of the company for the purpose of its resale.
The Establishment and Development of a Private Limited Liability Company

This bachelor dissertation is dedicated to the process of establishment and development of one of the most often utilized legal forms - that of a private limited liability company. The main goal of this dissertation is to offer as much information, so as even a reader who is not familiar with all the legal regulations would know, what all is needed for a proper establishment and subsequent development of this legal structure. Except for the process of establishment and development of the private limited liability company itself, there is also attention paid (with regards to the satisfaction of the mentioned goal) to other with this problem related questions. At the beginning there is a definition of the terms company and business law, then an explanation of other basic business law's terms follows, there is also a basic characterization of a private limited liability company and some non-juridical aspects of the establishment and development of this legal form cannot be missing, too. And finally, there is also some practice of the business courts added at the end of the paper. This practice concerns some more or less serious faults which can come during the process of the establishment and development of a private limited liability company.

The goal of this work is to provide an overview of the main advantages and disadvantages of the enterpreneurship in the individual legal forms of the companies. The attention is paid to Partnership, Limited Partnership, Limited Liability Company and Joint-Stock Company. The main intention is reached by the comparison of the fundamental characteristics of the companies which are mentioned above. Each chapter describes certain comparable factor which reveals the most important differences of each form of the company. I have tried to suggest possible pros and cons which are connected with them. The whole overview of the characteristics, advantages and disadvantages is presented in the attachements.
Foundation and creation of a limited liability company

The first part of this thesis describes the limited liability company, its advantages and disadvantages and it is explained why this company form is so popular. The second part deals in detail with the process of foundation and the subsequent creation of a limited liability company. Emphasis is placed on the founders of the company and the conditions they must meet. At the end of the thesis there is given a practical example of a particular creation of a limited liability company.

The diploma thesis describes the position of partner (member) in the limited liability company in the Czech Republic. First of all I analyzed the basic characteristics of the limited liability company including the historical development. Then I focused on its partners (members), I described who can become a partner, how and under what circumstances. Special attention was paid to the capital contribution and the business share. The most important part of the diploma thesis focuses on the legal aspects of partner's rights and obligations. I pointed out the advantages of being a partner (such as not being liable for the company's debts) as well as disadvantages. Various ways of leaving the company are briefly covered in the last chapter.
Member's ownership interest in a limited liability company

The thesis focuses on a member's ownership interest in a limited liability company. In the introduction, we provide an outline of the basic institutes of a limited liability company such as its incorporation and creation, composing of memorandum of association, the way of member's liability etc. Then we define the legal nature of an ownership interest as another property value. The main stress is put particularly on a member's rights and obligations arising from the ownership of his/her interest, and on different changes of members. To illustrate the issues described in the thesis, we also provide relevant judgments rendered by Czech courts in appellate and appellate review proceedings related to ownership interests in limited liability companies.
