Competencies of the General Meeting of a Limited Liability Company The submitted paper analyses the current legal regulation regarding the competencies of the general meeting of a limited liability company; focuses on regulation's problematic parts; and suggests legal changes based on the conclusions drawn in this paper. The paper consists of three major parts and two appendixes. The first part provides the general information about a limited liability company. I briefly summarize the historical development, legal regulation and main bodies of a limited liability company. The second part focuses on the general meeting of a Limited Liability Company in general. The third part constitutes the main body of this paper. It focuses on general classification of competencies of the general meeting. It also deals in detail with individual matters entrusted in the general meeting's competencies. The competencies of the general meeting are covered into detail in each sub article. The connection between law and real life is also examined quite thoroughly. This part deals with different legal opinions regarding this topic and I draw my own conclusions here. Creative accounting in the sphere of data transfer from management to financial accounting with a view to stock.

The subjekt of this Master thesis is creative accounging in transfer from management accounting to financial accounting in field of provisions. In theoretical part there is description of financial accounting, management accounting and the fields of provisions providing the opportunity for creative accounting. In practical part there is the determining motives for creative accounting target of maximal or minimal profit. There is the enumeration of stated fields of provisions too. Finally there are recommendations of the methods of management accounting considering the target.

Vykazování biologických aktiv a zemědělské produkce dle české účetní úpravy a IFRS

This work deals with the reporting of biological assets and agricultural produce according to Czech accounting standards and IFRS. In the theoretical section is outlined process of accounting harmonization in the world and in the European Union. There are also analyzed the requirements for reporting and measurement of biological assets and agricultural produce according to Czech accounting standards and International Financial Reporting Standards. At the end of this chapter the key differences are summarized between the accounting systems. In the practical section, these systems are applied to the selected biological assets and agricultural produce and the results are then compared and evaluated the impact of the valuation according to these systems to the values of selected financial statements for the selected company.

Adoption at a distance of zambian´s children

My diploma thesis is dealing with extended Adoption at distance of Zambian children and had research character. Thesis is divided into two parts; first one is theoretical, second is practical. Theoretical part consists from nine chapters. Continuously they describe history and actual state of Zambia, individual development especially in relation with education, focus and objectives of UNICEF activities, OSN and international documents dealing with human rights, education and its value in humans live, educational system in Zambia and its structure, extended adoption, organization that are realizing extended adoptions in Zambia and the last chapter is mentioning more organizations, that are realizing this project.The practical part of the thesis has scientific character. The objective of the thesis is to describe the project of extended adoption and the relation of Czech society to this project. In order of this aim three hypothesis have been made. In the first one I assume, that Czech society think that extended adoption is beneficial, but does not believe that the financial assets are not spend on the right purposes. In the second hypothesis I assume, that there is no discrimination in choosing the children taking part in the extended adoption programme based on tribe nationality, race or religion. The last hypothesis assumes that Zambian children are interested in education and that why they think the project is good for their future lives.For approving or declining hypothesis I used the method of questionnaire and discussion. The questionnaires were given to Zambian children and Czech public society. The discussion was realized with employees of certain organizations that are realizing the project of extended adoption programme. Altogether there were 170 questionnaires, 100% of them were returned.The hypothesis are analysed at the end of practical part. In the end there is summary of certain pieces of knowledge from theoretical and practical part. The last part of this diploma thesis contains the appendixes.

Práce popisuje měnovou krizi ČR v květnu 1997. Analyzuje vývoj české ekonomiky v 90. letech s důrazem na roky 1996 a 1997. Zahrnuty jsou příčiny, průběh a důsledky krize, včetně shrnutí chyb v měnové a fiskální politice. Stručně je zachycen i vývoj hospodářské recese ke konci 90.let. Součástí práce je i teoretický výklad měnových krizí.

Specificities of nursing newborn children with partum cranial injuries

Birth injuries of the new-born infants might be caused either by mechanical or anoxic traumas that occur during the birth. The injuries might be a result of insufficient attention or inadequate efforts of the obstetrician but might as well occur completely independently of the obstetrician´s activities. The character and extent of birth injuries are very wide and vary from the insignificant ones that are cured completely without any consequences to those that leave long-term consequences and that may even end in the death of the new-born infant. Cranial injuries of the new-born infants include: caput succedaneum (swollen scalp), cephalohaematoma, petechiae, suffusion, eye injuries, scalpel-incised wounds, parietal bones fractures, spinal cord injuries and intracranial haemorrhage. This Baccalaureate thesis surveys the knowledge of the nursing staff as far as birth cranial injuries are concerned and concentrates also at specific aspects of nursing new-born infants who suffer from caput succedaneum (swollen scalp) and cephalohaematoma. The theoretical part comprises the most important pieces of medical knowledge in nursing new-born infants with birth cranial injuries. The first goal of this thesis was to map the level of knowledge of the birth cranial injuries among the nursing staff. In compliance with this goal a hypothesis was stipulated: ?Members of the nursing staff are well-informed about birth cranial injuries.? This hypothesis was verified and confirmed. It was found out that members of the nursing staff have good knowledge about birth cranial injuries, their predispositions and prevention. A quantitative research was carried out using the questioning method (the questionnaire technique was used). The research was carried out at the Neonatal Departments of the hospitals Nemocnice České Budějovice, a.s, Nemocnice Písek, a. s. and Nemocnice Strakonice, a.s. The second goal of this thesis was to map the specific aspects of nursing new-born infants who suffer from caput succedaneum (swollen scalp) and cephalohaematoma. In compliance with this goal a research question was stipulated: ?What are the specific aspects of nursing the new-born infants who suffer from caput succedaneum and cephalohaematoma?? It was found out that nursing new-born infants with caput succedaneum and cephalohaematoma does not comprise many specific aspects. The most important thing is to nurse such infants carefully and with caution, to position their heads on the side without caput succedaneum or cephalohaematoma, to check regularly the bilirubin level, to observe carefully the cephalohaematoma or caput succedaneum (its colour, size, localization) and to watch the behaviour of the new-born, mainly whether it shows any signs of pain. The research was carried out in a qualitative way using the question method ? the depth interview technique. The research file consisted of two nurses and two midwives from the Neonatal Department of the České Budějovice Hospital, a.s. The research has revealed that the nursing staff at neonatal departments is well informed about birth cranial injuries and that the nursing methods applied at new-born infants who suffer from caput succedaneum and cephalohaematoma do not differ much from the methods used in case of physiological infants. The output of the thesis is an educative material concerning birth cranial injuries that is intended for the nursing staff at neonatal departments.

Cílem mé bakalářské práce je finanční analýza společnosti Vodafone Czech republic, a. s. v letech 2002 ? 2005. Tato práce se skládá z pěti části. V první části řeknu něco o cíli této finanční analýzy, v druhé části pokusím se popsat vybraný podnik, v třetí části je popsán metodický aparát, pak následuje aplikační část, kde jsem provedla finanční analýzu a na konci bude závěr a shrnutí poznatků.

Souvislosti hospodářské a sociální politiky a rodinného chování

Cílem této diplomové práce bylo shrnutí známých teorií zabývajících se rodinným chováním a ověření platnosti těchto teorií na datech za Českou republiku. Hlavním úkolem bylo určit důvody, které vedou lidi k uzavření manželství, důvody pořízení nebo naopak nepořízení dětí a důvody vedoucí k rozpadu rodiny rozvodem. Zajímalo mě zejména, zda lidé při svém rozhodování týkající se rodinného chování berou v úvahu kromě psychologických motivů také motivy ekonomické a zda má na rodinné chování vliv hospodářská a sociální politika státu. Diplomová práce se skládá ze tří hlavních částí. V první části diplomové práce jsou definovány pojmy týkající se rodiny a rodinného chování, vysvětlen smysl, funkce a cíle rodiny a také je zde charakterizována rodina a rodinné chování pomocí některých zajímavých čísel. Dále je zde vysvětleno, co se míní pojmy hospodářská a sociální politika a jak tyto politiky souvisejí s rodinným chováním. Druhá část diplomové práce je věnována popisu již existujících ekonomických teorií vysvětlujících příčiny a následky rodinného chování. Třetí část práce je zaměřena na ověření platnosti teorií pro Českou republiku.
