As the focus is on main characteristics of this legal form, the thesis describes the proces of establishment of a company, relations of company and its owners and rights and obligations of company's representatives. The diploma thesis provides overwiev of regulation of this widely-used legal form and summarises the main differences between Czech and German version of Limited liability company.
The statutory bodies of the Limited Liability Company and Joint-Stock Company

The bachelor thesis deals with statutory bodies of the Limited Liability Company and Joint-Stock Company. In the case of the Limited Liability Company we are talking about the agent and in the case of Joint-Stock Company we are talking about the board. The role of the statutory body in the company is really very fundamental. The reason why this position is so important is the authority to negotiate in the name of company - activity outside of the company and business leadership of the company - activity inside of the company. This work is divided into two basic parts, which should present the general overview of the statutory bodies in the Limited Liability Company and Joint-Stock Company. First part deals with the general characteristic of the Limited Liability Company and Joint-Stock Company and the second one deals with direct questions of statutory bodies in the given companies. The aim of the first chapter is to present the conditions for discharge of function and its creation, legal regulation between the member of the statutory bodies and the reasons are for the discharge of this function. Next chapters deal with acting on behalf of the company and with the trade leadership of the company, responsibility and discretions and duties resulting from the discharge of their office.
Transition from tax records to limited liability company

The diploma thesis deals with the transfer of natural person enterprise to limited liability company provided that the individual entrepreneuer keep tax records. The thesis defines the basic characteristics of individual entrepreneuer and limited liability company in terms of legal, accounting and tax. There is also a comparison of advantages and disadvantages of both forms of business. The main part of thesis deals with the possibilities of transition of individual entrepreneuer keeping tax records to limited liability company. Specifically this part defines the sale of the enterprise, enterprise deposit and the transfer of property in parts -- again in terms of legal, accounting and tax. At the conclusion theoretical knowledge is applied to a specific example.

In my diploma thesis I described the mostly spread legal form of entrepreneurship in the Czech republic, the limited liability company. I analyzed the basic characteristics of the limited liability company including conditions of the establishment, time demands and administrative difficulties of this process. I also focused on its partners and described who can become a partner, how and under what circumstances. Special attention was paid to their rights and obligations. The goal of this thesis was to find out advantages of entrepreneurship in the limited liability company. My conclusion was based on both, the practical and the theoretical knowledge.

The goal of this work is to provide an overview of the main advantages and disadvantages of the enterpreneurship in the individual legal forms of the companies. The attention is paid to Partnership, Limited Partnership, Limited Liability Company and Joint-Stock Company. The main intention is reached by the comparison of the fundamental characteristics of the companies which are mentioned above. Each chapter describes certain comparable factor which reveals the most important differences of each form of the company. I have tried to suggest possible pros and cons which are connected with them. The whole overview of the characteristics, advantages and disadvantages is presented in the attachements.
