Formation, incorporation and invalidity of business company

The title of this master thesis is "Formation, incorporation and invalidity of business company". The study is based on the Czech law contained mainly in the Commercial Code. The first part of the thesis describes the entire constitution process of a new business company. The second part focuses on issues related to invalidity of a business company. The Czech Commercial Code distinguishes six forms of business companies - general commercial partnership (unlimited partnership), limited partnership company, limited liability company, joint-stock company, European company and European economic interest grouping. Constitution process of a new business company can be divided into two phases - establishment of a business company and creation of a business company. Each of these phases contains specific issues that are analysed in particular chapters of the study. The thesis is composed of seven chapters. Chapter One provides general characteristics of a business company including its legal regulation. Chapter Two deals with establishment of a business company. It describes business company's founder and focuses on issues related to the founder's deed including its substantial requirements. Merger of Daughter Companies

This work deals with mergers of commertial companys in largers economic units. Chapters are systematicly organized and provide the reader with overview of the development, relevant issues and execution of mergers of commercial companies. The work shows styles of merger execution, company´s motives for merger and finally also legal regulations connected with this proccess. Other sections of this work show analyses of companies, which have undergone a merger. You can see characteristics of these organisations and compare their merger execution plans and detailed schedule for different stages of the merge project.

Integrating child with ADHD into regular nursery school

The theme of this work deals with the intergration of children with ADHD into mainstream nursery schools. The main aim of this work involves the observation of a boy with ADHD; his behaviour at pre-school, the types of relationships he develops with his contemporaries, how he engages in group activities and how all of these things changed over the course of a year. The theoretical part of my work details causes, outbursts, investigations, medical and educational measures towards ADHD and relaxation. Although explanations and characteristics from Franz Kett's pedagogy are very suitable while working with pre-school children, his work, unfortunately, is scarcely used in Czech nursery schools. The practical part describes my output, which was inspired by Franz Kett's methodology and details the boy's behaviour during individual sessions within the school year at the nursery school. Apart from the aforementioned observations of the boy, the conclusion also contains communications with his mother and tutors. These results are presented in the conclusion.

Comparison of business in the Czech rep. and Slovak rep.

This work deals with comparison of business in the Czech and Slovak Republics, focusing on a limited company and specifically on the comparison of the possible ways and conditions of its acquisition in both states. The first chapter is devoted to the characteristics of some basic concepts, the second chapter the description of the legal forms of business in the CR and the third focuses on the general characteristics of the company. In the fourth and fifth chapter lists analyzed by a public company and limited partnership under the laws of both states. The sixth chapter focuses on the core theme of work and it is a limited liability company, a detailed analysis Ltd. under the laws of both countries and a description and comparison of ways to within Ltd. start a business. Gradually options are compared to set up Ltd. in both countries by self-help, by consulting firms and buy ready made Ltd. together with a practical comparison of prices of the services. The seventh chapter is devoted to the joint-stock company and its modification in the law of the CR and SR. The last chapter is a comparison of Czech and Slovak Republic in terms of their tax burden and agenda.
