Legal and financial aspects od the de-merger of the corporation

The aim of this master thesis is to describe the contemporary legislation and financial aspects of the de- mergers and spin offs of the corporation. The first chapter deals with the problematics of corporation transformations and the conditions of their realisation. The next chapter focuses on de-mergers and spin offs as such, their particular forms, on the project of de-merger as the principal legal act, on protection of stakeholders (creditors and debtors of the corporation) and other aspects. The third chapter analyses financial aspects of the corporation division. The attention is paid on the duty of preparing the financial statement and appraisement of assets and liabilities that go over to the successor corporation. The fourth part of this paper is devoted to the question of business valuation, the categories of the enterprise value and selected methods of its measurement. The fifth chapter describes the tax duties of the corporations participating on the de-merger (or spin off). The last part of this thesis is practical. It deals with de-mergers and spin offs of corporations, that were recorded into the Business Register in 2014. De-mergers and spin offs that were found during the analyses are sort by the location of the divided corporation, its legal form and other aspects.
Measurement of balance sheet items

This thesis deals with measurement in financial accounting. First part is concerned with the regulation of accounting. After a quick insight into the importance of measurement, thesis defines measurement bases set out by the Czech accounting legislative and International financial reporting standards. Measurement bases are then applied on specific assets and liabilities in compliance with both the Czech accounting legislative and International financial reporting standards. Moreover, theoretical aspects of measurements are applied on particular problems. In conclusion, thesis sums up all the important aspects of measurement.
Dopady zavedení oceňování reálnou hodnotou na řízení vybraných účetních jednotek v oblasti dlouhodobého majetku

Subject of this thesis is measurement the fixed assets on fair value, determination effects of this measurement and formulation appropriate recommendations. A partial aim is quantification of these effects on the company's reports and indicators of financial analysis. The introductory part is devoted to the accounting harmonization. In the next chapters are theoretically defined valuation methods according to the Czech accounting legislation and standards IAS/IFRS with a detailed focus on the issue of fair value. The most important part is application of revaluation model on fixed assets of the accounting unit, view of accounting operations during revaluation, revaluation impacts on company statements and financial analysis indicators.

The diploma thesis deals with the valuation of biological assets according to IFRS for SME. Its aim is to assets the impact of the revaluation of biological assets from historical cost to fair value. In the first part of thesis there is characterized the standard for small and medium-sized enterprises. The attention is paid especially to the valuation methodology with the Section 34 -- Specialised Activities and with Czech accounting legislation and then, there is the comparison of these two approaches. Practical implications of the standard are demonstrated on the data from LDO Přibyslav. The revaluation of biological assets from historical cost to fair value was done in this enterprise. Then there is the evaluation of the impact, which may occur in Czech forest enterprises thanks to the implication of the Section 34 of IFRS for SME.
Accounting for the impairment of non-financial assets IFRS/US GAAP

This thesis deals with the requirements of how to approach the issue of testing the value of assets in accounting and recognition of an impairment loss under IFRS and U.S. GAAP. The main objective was to create a comprehensive view of this specific area, eventually determine differences in accounting and reporting between IFRS and US GAAP. There is mostly characteristic of IAS 36 Impairment of Assets and SFAS 144 Accounting for the Impairment or Disposal of Long-Lived Assets, which specify when and how to entity test, identify, report impairment loss. The work also describes the basics of valuation of assets, mainly deals with the measurement by using historical cost and fair value.
Confrontation of historical cost and fair value measurement of non financial assets in IFRS

Diploma thesis is focused on two main measurement concepts -- historical cost and fair value. The aim is to interpret fair value as a measurement base used to assign value to non financial assets, and compare it with well-known historical cost base. In context with historical cost measurement, attention is also paid to impairment meaning a decrease in carrying amount of an asset. Major part of the thesis deals with fair value measurement according to the new accounting standard IFRS 13. The thesis is concluded with practical survey about the use of fair value as a measurement base for non financial assets in practice.
Comparison of czech accounting standards with IFRS, with a focus on bonds

The main topic of this work is to provide information about accounting, methods of valuation of debt securities, mainly bonds, in terms of business units. There is detailed explaination of securities, their classification and valuation in accounting of discounted bonds and bonds with a coupon according to the methods of the czech accounting legislation and also the solution according to IFRS focusing on bonds. The work includes a view of the investor and the issuer of a bond. It contains the basic legal requirements relating to issuance of the bond and bond requirements which must contain according to the legal terms. In the examples are shown the effects of changes in the accounts, mainly balance sheet items and differences between using methods IFRS and czech accounting legislation. At the end there is a summary of the main differences between the czech legislation and international accounting standards.
Analysis of the OTC derivatives and their use in risk management

This bachelor thesis deals with the over-the-counter (OTC) derivatives. It discusses especially the development of their trade in the world and the possibility of using in risk management. The introductory part defines the basic concepts associated with derivatives, describes their history, classification and methods of statistical reporting. It briefly introduces the basic types of derivatives and the primary motives for using. The second part analyses developments of the OTC derivatives markets since 1998 to the present, including a comparison with the stock exchange markets. The content is also a detailed view of the break-even period before and after the outbreak of the global financial crisis. The last part is devoted to hedge risks through OTC derivatives. It Includes introduction to hedge accounting in terms of czech and international financial accounting and reporting standards and the conclusion is supplemented by specific examples of fair value and cash flows hedges.
Accounting in agriculture according to Czech and International Accounting Standards

The aim of this thesis is to assess the applicability of IAS 41 -- Agriculture on livestock production in the Czech Republic. The thesis is divided into two parts. The theoretical part deals with the specifics of agriculture, accounting procedures in compliance with the Czech legislation and requirements for reporting and disclosure of biological assets according to International Accounting Standard IAS 41 -- Agriculture. The practical part is focused on the feasibility of biological assets classification and their measurement based on fair value less costs to sell in AGRO DRUŽSTVO Načeradec.
Accounting, legal and tax implications of cross-border mergers in EU

The purpose of my dissertation was to make an analysis of factors influencing the process of the carrying out of the cross-border merger of the Czech company with the company in the European Union. Solution procedure stems from a general definition of acquisitions and mergers, their historical development, reasons for the carrying out thereof, through the picture of these processes in international standards of financial reporting up to the regulation in the European Union. When analyzing the rules for cross-border mergers within the EU, I ascertained problematic places consisting in non-finalization of harmonization - in accounting context - of mergers, and in possibilities of a selection of a tax solution. Apart from the Czech legal regulation, I also analyzed the Slovak legal regulation since the last application part contains a practical example of merger of the Czech company and two Slovak companies carried out in 2009 and prepared on the basis of empirical data.
