Limity liability company in legislation and practice Czech Republic

This thesis deals with a limited liability company in the practice of the Czech Republic. Theoretical solutions are focused on the legislation under which Ltd. Czech modified. Examined the legislation before recodification and also following treatment. Attention is paid to the establishment and creation of the company. The practical part contains the characteristics of the two entities and the analysis of their costs associated with the formation and establishment of the Company. The amount of expenses is captured at two different times and under different laws. Based on the obtained data are calculated costs and evaluates development costs, which are necessary for s.r.o.. As outputs for evaluation of the development costs are used in tables and graphs are available for this event as the most appropriate representation. In conclusion, the results will be evaluated and will be designed to any measures or recommendations.
A limited liability company in terms of current legislation

The main objective was to draw attention to the new obligations and statutory regulations arising from the Business Corporations Act and the New Civil Code as compared to the former legislation. The thesis also addresses characteristic features of limited liability companies, their development and the conditions that have to be met by companies abroad.

Bachelor thesis is prepared on the theme of contractual relationships in construction. In the first part will focus on the characteristics of the legal definition, basic concepts of law and rules and sources of business law. Furthermore, in the first part will focus on contract for work and purchase agreement by the Commercial Code and by the Civil Code. In the second section covers two specific firms that characterize and then compare. In this section will also analyze specific contracts, which then will also be evaluated. In the second part is also made proposal how should look a contract for work.

Work aims to analyze the possibility of termination of corporate insolvency, to pay attention to the possible potential pitfalls. Analytical section examines the progress of liquidation of a company from the perspective of a liquidator. The goal is a seamless implementation of the liquidation of the greatest benefits for shareholders.

Effectiveness of Security of Obligations

The topic of my diploma thesis is the effectivity of provison of contracts. The aim is, on a general level, to outline a basic view of all the provisory institutes that are currently offered within the Czech system of law and my attempt is to find the most effective one of them. In the theoretical part I focus on contractual relationships, different kinds of them as well as reasons of their origination. The practical part analyzes particular ways of provision of contractual relationships and their effectiveness. Criteria of the evaluation, findings obtained and realization of the set aims will be presented at the end of my thesis. When analyzing contractual relationships and ways of their provision I mostly follow enactions of the civil and commercial codes and subsidiary case laws.
Accounting and tax specifics of a limited company

The diploma thesis is focused on a limited company from legal, tax and accounting perspectives. The thesis contains comparison of to date legislation after the recodification of business law with its consequences and Commercial Code. This comparison aims mainly on the process of foundation of a company, company's authorities, reserve fund and increase and decrease of share capital. The following chapter contains impacts of mentioned recodification on accounting standards. The thesis is further concerned about the corporate income tax. Last chapters are about executive directors' rewards including their taxation and about distribution of profit. These chapters describe an approach of a current legislation as well as the obsolete Commercial Code.
