Minority shareholders' rights protection The subject of my Master's degree thesis deals with the minority shareholders' rights protection. With respect to the complexity of the subject, I have decided to focus only on some selected matters, namely the protection of rights of minority shareholders according to the Sec. 181 and 182 of the Commercial Code and the minority shareholders' right to terminate their participation in the company if their legal position in the company changes substantionally. The goal of the paper is to submit a complex view of the issues mentioned above, with regard to the analysis of the literature and respective decisions of the courts and, ideally, to draw the reader's attention to disputable parts of the issue and set down possible solutions. The rights listed in the Sec. 181 and 182 may be enforced only by the minority shareholders whose participation in the capital stock represents the percentage of at least 3 % or 5 % in case the company's capital stock amounts to more than 100 000 000 Kč or at least 100 000 000 Kč, respectively.
