This Bachelor´s thesis describes the process of disestablishment and termination of trading companies. The thesis is targeted on a companies liquidation. The goal of this thesis is to describe the liquidation procedure and to point out the mentioned problems that could occur during liquidation. The practical part of this thesis contains activities of liquidator in the non-stock company. Focus of the Bachelor´s thesis is to understand these problems.

This thesis deals with an elaboration vehicle inspection methodology of used by a loss adjuster and especially with an application of the inspection results in a forensic engineering. A theoretical part attends to an insurance with focus on problematics of valuing of insurance events in the field of motor vehicles and categorization of a motor vehicles itself. This thesis contents an analysis of working methods used by the loss adjusters in both theoretical and practical ways. A methodology was elaborated based on an analysis and requierements on forensic expert work.

The first part of this thesis describes the legal aspects of dissolution of a corporation with liquidation. It describes the acts necessary for a successful liquidation, and it also discusses the accounting and tax implications that we need to keep in mind and may encounter during the liquidation process. The next section describes the specific process of liquidating a limited company. For interest, the thesis also provides statistics on the number of liquidated companies in the Czech Republic.

Legal regulations of liquidation of a business corporation

The goal of this master's thesis is, as the title suggests, to map out the legal regulations of liquidation process of business corporations. There are of course loads of similar thesis and monographies on the similiar topic, but after the recodification of the civil law that became effective from the 1st January 2014 the need for description of this topic is coming back again. This master's thesis desribes the legislation after the mentioned recodification of the civil law. Its goal is not to become a guide for the whole procedure of the liquidation process of business corporation. The thesis is written chronologicaly according to the procedure of liquidation mostly in its content and structure. Main goal of this thesis is to higlight the main problems and difficulties, that the persosn participating in the process of liquiadtion can face. With recodifiaction comes also the issue of judiciary, that is created by activity of courts, but the courts need longer time period to create the judiciary. In the time that this master's thesis was written (approximately two years after the new legislation became effective) the courts couldn't react in greater range on this crucial legislation change. With this issue also comes a question if the old judiciary can be used for the new legislation. In this thesis...
