Legal aspects of navigating the Vltava in Southern Bohemia

The objective of this thesis is analyzing the legal aspects of the completion Vltava waterway in the southern Bohemia, namely the legal relations arising from contract for work in construction, which was closed during the project and compare some selected parts of the contract with § 536 - § 565of Czech Commercial Code. Another objective is to analyze the financing of the project, especially in view of the Transport Operational Programme of the European regional development fund.

My attention was focused especially on content of the social contract and differences in their solutions for specific businessman. The goal of this work is to describe the legal regulations of this capital-type company in the Czech Republic. Next goal of this work is to compare limited liability company with the single-person corporations. In the practical part, there you can find analysis of popularity of different types of companies in the South Bohemia Region.

Legal form of checkable deposit and time deposit

The thesis deals with legal form of checkable deposit and time deposit in the Czech Republic. The study primarily describes formation, alteration and discharge of contractual relationship, which is formated between the bank and the bank customer in terms of contract of checkable deposit or contract of time deposit. The thesis primarily deals with the position of retail bank customer, which is not a business entity. From the standpoint of theory, the text focuses on mutual rights and obligations of both contractors. The analytical part compares the offer of checkable deposits for students in two Czech banks (Komerční banka and Česká spořitelna) with a view to legal terms.

The Role of The Commercial Register in The Commercial Law

The aim of this diploma thesis is to analyse the substantial and procedural legal regulation of the Commercial Register in the Czech Republic briefly though coherently and to clarify the most important principles, fundamentals and proceedings that are binding for the Commercial Register. Firstly I will introduce the Commercial Register in general and clear up the term "principle of publicity". Further I will focuse on the registered subjects and information and I will look closer on the Collection of Documents. The following chapters present the Commercial Register proceeding and the selected datas that may cause problems during the Commercial Register entry. At the end of my thesis I will try to introduce some proposals that could be helpful for the correction of some failures of the contemporary Commercial Code.

Pojem obchodní majetek v daňových zákonech a jiných legislativních pramenech v ČR a jiných členských státech EU

V české legislativě se vyskytuje definice pojmu obchodní majetek celkem třikrát, a to v obchodním zákoníku, zákoně o daních z příjmů a zákoně o DPH. Úkolem této práce je zachytit rozdíly v obsahu jednotlivých vymezeních. Obchodní majetek zahrnuje pokaždé obsahově jiné složky. Často, co je považováno podle jednoho zákona za obchodní majetek, z pohledu jiného legislativního pramene do této definice nespadá. Což může způsobit v praxi určité problémy. Je tedy dobré vědět, pro účely kterého zákona je obchodní majetek zmiňován. Dále jsou zde rozebírány pojmy související s danou problematikou, a to např. obchodní jmění nebo čistý obchodní majetek.

Tato diplomová práce se zabývá problematikou fúzí obchodních společností. Cílem práce je zmapovat toto téma v podmínkách českého právního prostředí. Pozornost je věnována aktuálně platné legislativě ? příslušným ustanovením obchodního zákoníku, zákona o účetnictví a dalších podzákonných účetních norem a zákona o dani z příjmů. Dále je doplněna o pohled na danou oblast očima Mezinárodních účetních standardů.

Účetní řešení fúzí podniků na příkladu stavební firmy

Přeměny společností, mezi něž fúze řadíme, představují složité a komplexní operace. Práce nahlíží na problematiku zobrazení těchto transakcí v účetnictví zúčastněných společností. Zaměřuje se především na přístup české obchodněprávní úpravy, nabízí však také pohled mezinárodní, zastoupený IFRS. Na závěr uvádí souvislý příklad účetního řešení v praxi proběhlé fúze.

Srovnání účetnictví individuálního podnikatele a s.r.o.

Diplomová práce srovnává zvláštnosti účtování individuálního podnikatele a s.r.o. Nejprve práce provádí charakteristiku obou právních forem, přičemž vychází z platných právních předpisů. Dále charakterizuje účetní jednotku a popisuje účetní zvláštnosti obou právních forem. V závěru se zaměřuje na daňovou zátěž obou subjektů a hledá daňové optimum. V praktickém příkladu pak práce dokumentuje zásadní účetní a právní odlišnosti při vzniku těchto subjektů.
