Business decisions of members of elected bodies and the business judgment rule from the perspective of recent case law in the Czech Republic and Federal Republic of Germany Abstract The thesis focuses on business decisions of members of elected bodies with a focus on statutory bodies of limited liability companies and joint stock companies. It examines them in the perspective of the business judgment rule. The author asks the questions how members of elected bodies must make their business decisions in order to be protected against liability for damage caused by their consequences, and whether the current statutory regulation of the business judgment rule is sufficient or whether an amendment would be needed. In order to answer these questions, the author analyzed the statutory regulation of the business judgment rule and, in particular, the case law of the Czech and German supreme courts. Germany was chosen by the author because its statutory regulation and judicial decisions of the German Federal Court of Justice served as a source of inspiration for Czech legislators and Supreme Court judges. Regional external economic relations

Thesis about regional external economic relations try to resolve a question how subjects in a selected region (Prachatice district) conduct to economic relations with subjects of other territory and how these economic interactions can be describe. The target of the thesis is to characterize these relations on inferior level than the national economy. Literature retrieval cites authors from the field of regional science. Recherché summarises the base methods of research of the matter. The main part of the study describes collecting data about economic activities on two levels external regional relations LAU1 - NUTS1 and LAU1 - LAU1. Data about turnover of goods between 114 entities and subjects from the EU for years from 2004 to 2009 on LAU 1 - NUTS 1 level was obtained from the database Intrastat. Data about interregional exchange on LAU 1 - LAU 1 level were drawn from accounts of three companies from Prachatice district. All data are presented in several ways in tables, charts and maps and commented too. In the thesis is formulated equation which objectifies interregional distances so that responded to its negative effect to size of economic relations between regions. For prediction of the relations can be used reciprocal of the distance (index). The hypothesis on the validity of the formula (index), is statistically tested and confirmed on the end of thesis.

Human and material resources of choice region

This work is looking for potential development trends of the region Prachatice. For the development of region are necessary as basic expectations {--} human and material resources of a region. Forepart describes a theoretic view on regional development and of his conditionality with a capital, including of a human capital. The economic growth is associated with investments and accumulation of capital. In the second part are quantified human resources of the region Prachaticko and described their structure. The next part finds possible approaches delimitation and quantification of material resources. The material resources were determined in four fields {--} natural resources, infrastructure, touristic potential and assets of firms and households. Potential development directions are sought in the main part by four methods. SWOT analysis, numeration of choice factors in monetary units, appreciation qualities of entrepreneurial environment and searching potential directions of development pursuant to previous findings grant differently valuable records. Altogether, the biggest potential of the region have been found in creation of unified system tourist and sports service trades unific small enterprisers in this branch.
