Competition Law - Control of Concentrations between Undertakings

The subject of this thesis is the control of mergers as it is regulated by Czech laws. Control of mergers is one of the cornerstones of competition law. Competition is an important attribute of the market oriented economies all over the world. Since it is not capable of self-regulation it is necessary to set limits for the behavior of the subjects that are taking part in this competition. These limits are set by competition law. The topic is divided into three chapters. The first chapter contains definition of the term competition, in the second there are described basic terms common to all areas of competition law, while at the end of this chapter there is a description of these areas. In the last chapter focus is on control of concentrations itself in the ambit of Czech law. The aim of this work is to describe merger control as it is provided by Act No. 143/2001 on Protection of Competition (ZOHS). The emphasis is on describing different forms of merger and their characteristics which must be met so that a certain transaction could be classified as a merger. Private limited liability company according to Business Corporations Act compared to private limited liability company in Danish law

Private limited liability company is a type of limited liability company used especially by small and medium-size enterprises. This form of company is very popular in and outside of Czech republic. In the last few years many countries have adopted new laws regulating private limited liability companies. In Czech republic it was Business Corporations Act in 2012 although many provisions were included in other acts. In Denmark this form of company is regulated in Danish Companies Act adopted in 2009. This thesis describes legal regulations on private limited liability companies in both Czech republic and Denmark. Description of Danish regulations is rather thorough since there is limited amount of other sources on this matter in Czech language. The aim of the thesis is to compare these regulations and their positive and negative aspects.
Financial Analysis of the Company Penzión Schweintaal, s. r. o.

The bachelor thesis focuses on the analysis of financial situation of the company Penzión Schweintaal, s. r. o., during the years 2008-2012 as well as on the creation of a long-term financial plan based on the outputs of the analysis. The paper also includes the definition of company's strategy, vision, mission and basic strategic goals that should be reached by the company during the set horizon. Fundamental tools from managerial and strategic management accounting are used within the paper. These include SWOT analysis, strategy map and Balanced Scorecard that help to identify and analyze the most significant problems of the company. Specific contribution to the thesis represents the creation of the financial plan based on data analysis from the past and estimation of their development in the future. This plan is likely to become one of the fundamental tools of the company's financial management in the future. I have come to the conclusion that thanks to the implementation of the right managerial tools and marketing methods is the company able to become self-sufficient, make a profit, be independent on additional funds from their owners and fill its capacity thanks to the inflow of new customers.
Analysis of employee benefits

The main objective of this thesis is to present current offer of employee benefits in XY company operating in the field of information technology (company does not wish to be named) and according to the provided survey, assess the system of employee benefits in terms of its strengths and potential weaknesses. This thesis is divided into two parts. The theoretical part focuses on the compensation of employees and the inclusion of employee benefits in the remuneration system. It also defines the term employee benefits, their classification and significance. At the end of theoretical part, there is a description of current trends in employee benefits in the Czech Republic based on a survey provided by Robert Half International. The practical part presents the current range of employee benefits in XY company and also results of a survey which was carried out in this company to assess awareness and employee satisfaction and submit proposals that would lead to optimization of the system. The results show that most employees of XY are well informed about their options and are satisfied with the current offer. Proposals for changes are outlined in the conclusion of this bachelor thesis.
