Competences of the general meeting of a limited liability company

and keywords This diploma thesis deals on the competence of general assembly in a limited liability company. In the introduction the author made a brief historical summary presenting the previous legislation of the Czech republic. The thesis is divided into four parts. The first part concerns with the general findings on the competence of general assembly including its classification. The second part is special to the first one, since it concerns with particular cases of competencies. This part is the most voluminous one because of its goal to interpret various conditions to take a decision depending on case of competency. In the third part the author made description of the French legislation and compared it to the Czech one. From the previous findings the author made a critical evaluation of contemporary legislation in the fourth part as well as specific suggestion for law-making changes.

The liquidator in the process of liquidation of a company

1 The Liquidator in the Process of Liquidation of a Company Abstract The diploma thesis deals with the issue of general legal regulation of liquidation of a company, above all with a focus on the liquidator's legal status and his particular actions within the liquidation process. The thesis follows a hypothesis that the analyzed legal regulation of liquidation of a business company embedded in the Commercial Code is good and well-elaborate. The objective of the thesis is to critically test thus formulated hypothesis on the basis of comprehensive delimitation, analysis and evaluation of qualities of general liquidation rules. Attention is focused mainly on legal issues related to the actual liquidator's position, for instance on the issue of qualification for the function of a liquidator or the issue of appointment and dismissal of a liquidator by the court. The study builds chiefly on the method of description and critical analysis of relevant legal provisions and secondary sources. The obtained theoretical knowledge is then generalized into more general conclusions using a synthetic method. Takeover bid

The bachelor thesis deals with legal form of a takeover bid. In the first instance the definition and the fundamental division of takeover bids are specified. The following chapter concerns the purpose, functions and the economical nature of takeover bids. The chapter concerning European legal form treats the Directive 2004/25/EC of the European Parliament and of the Council of 21 April 2004 on takeover bids. The main part of the thesis devotes legal form of takeover bids in the Czech Republic. It focuses on the Act No. 104/2008 on takeover bids and on amendments of other acts. In the chapter entitled "Mandatory bid" essential specifics are explicated. The order of chapters illustrates the whole process of a takeover bid.

Possibilities of cross-border mergers within the European Communities

Práce se zabývá analýzou jednotlivých možností, které evropské komunitární právo nabízí obchodním společnostem, které se chtějí spojovat přes hranice jednotlivých členských států. Podrobně rozebírá všechny tři možnosti, kterými jsou založení evropské společnosti fúzí akciových společností, založení evropské družstevní společnosti fúzí družstev a uskutečnění přeshraniční fúze kapitálových společností podle desáté směrnice o přeshraničních fúzích. Zabývá se též navazujícími českými předpisy, včetně posledních legislativních návrhů. Na závěr se na základě dosavadních zkušeností z praxe snaží o výhled do budoucna.

Tato práce pojednává o Maroku a jeho obchodním právu. Po charakteristice Maroka, jeho historie, státní moci a soudnictví se zaměřuje na právní úpravu obchodního práva, detailněji rozebírá obchodní společnosti. Jsou zde rozebrány i aktuální problémy jako korupce, dodržování autorských práv či postavení žen. Cílem práce je zjistit příčiny velkého rozdílu mezi relativně dobrou právní úpravou a její praktickou aplikací, která dosti zaostává.

Tato diplomová práce se zabývá především novými nadnárodními formami obchodních společností. Hlavním cílem této diplomové práce je právní rozbor aspektů evropského hospodářského zájmového sdružení a evropské společnosti. Právní rozbor je doplňen také o analýzu aktuálního využití těchto právních forem v praxi. Okrajově se tato diplomová práce zabývá také svobodou usazování společností. Práce dále podává přehled o platných právních normách regulujících aspekty obchodních společností na evropské úrovni.
