Cross border insolvency law

This diploma thesis entitled "Cross border insolvency law" is focused on the issue of international jurisdiction to open insolvency proceedings with a foreign element and on related topics, such as the concept of COMI and its interpretation. The thesis then contains relevant theoretical and regulatory milestones in the development of cross-border insolvency law and its approach to determining the international jurisdiction. The core part of the thesis is to answer these questions 1) what are the characteristics of cross-border insolvency law used within the EU 2) how does the European law view the concept of international jurisdiction 3) from a practical point of view how is the decision on international jurisdiction to initiate main insolvency proceedings made 4) and finally which components are central for the determination of COMI. To answer these questions, this thesis examines the legislation at the European and national level, its development and interpretation by jurisprudence. Předmětem této práce je rozbor problematiky postavení insolvenčního správce a věřitelů v mezinárodním insolvenčním řízení. Úvodní část obsahuje vymezení základních pojmů mezinárodního insolvenčního práva, včetně práva Evropské unie. Stěžejní část práce pak podrobně rozebírá postavení insolvenčního správce v kontextu s českou právní úpravou a s úpravou obsaženou v nařízení Rady (ES) č. 1346/2000 a jeho práva a povinnosti v mezinárodním insolvenčním řízení, dále se práce zabývá problematikou postavení věřitelů jako subjektů mezinárodního insolvenčního řízení probíhajícího v České republice. Vymezuje věřitele a věřitelské orgány, postavení věřitelů a pojednává i o některých otázkách týkajících se vztahu vnitrostátní a evropské úpravy vymezující postavení věřitelů. The PhD thesis "Current Issues in International Insolvency Law" aims to describe and draw attention to the moments that, in the opinion of its author, have had the strongest impact on international insolvency law so far. As such it is chiefly devoted to the analysis of existing regulation in the area of European insolvency law (which is principally based on Council Regulation (EC) No 1346/2000 of 29 May 2000 on insolvency proceedings - the "Old Insolvency Regulation" - and Regulation (EU) 2015/848 of the European Parliament and of the Council of 20 May 2015 on insolvency proceedings - the "New Insolvency Regulation"), and also provides a selection of the relevant case law which has over time significantly changed the way in which specific issues and instruments related to this area are viewed. To do justice to the complexity of the subject matter, the thesis also discusses the determination of jurisdiction in cross-border insolvency proceedings and recognition of the effects of foreign insolvency proceedings in relations between EU and non-EU countries. Forum Shopping within the European Regulation on Insolvency Proceedings

67 Abstract The topic of this diploma thesis is "Forum Shopping under European Regulation on Insolvency." The forum shopping means deliberate transfer of court proceedings from one EU member state to another under the regulation of EC Council No. 1346/2000, on insolvency proceedings. Forum shopping has been immensely developed recently which is evidenced by the fact that British courts have been facing motions for insolvency proceedings regarding debtors with major link to a non-UK country. I have chosen this topic because forum shopping often happens in real word and Czech expert literature keeps quite on this topic. The Regulation on Insolvency is linked to partly universal effect within the European Union. This means that insolvency proceedings in one Member state will be effective in other member states as well. The insolvency proceedings is commenced in the member state of the debtor's centre of main interests. COMI as a basic building stone of the Regulation is not precisely expressed, and only a partly construction served by the Court of Justice of the European Union leaves door open for large forum shopping evidenced by abundant decision making by the Court of Justice of the European Union and national courts of member states.
