Limited liability company after the adoption of new legislation

This Bachelor thesis describes the main changes in business of limited liability company after the year 2014 when the Business Corporations Act became effective. The main aim of this work is to describe the biggest changes that have occurred. It analyses real business environment using questionnaires and structured interviews with executive directors of random companies. Empirical results show that many of these directors are unsatisfied with actual legal situation, and the issue of registered capital is the most questioned. According to the managers there is a lack of laws regulating particle issues, family business company issue for example. The work also evaluates the personal responsibility of executive directors for the operation of the company. As the empirical results show, most executives are not fully aware of their responsibilities. Last, but not least, this thesis suggests some possible solutions of this situation, especially in the field of law.
Comparison of the Czech Limited Liability Company and its establishment and incorporation with the Gesellschaft mit beschränkter Haftung (GmbH) in Germany

The master's thesis deals with the characteristics of a limited liability company in the Czech Republic and Germany. It focuses primarily on the issues of establishment and incorporation of the company and looks for and comments the possible differences in the legislation of the both countries. The thesis is divided into thematic units to be synoptic, where within each unit characterizes in the first instance the Czech legislation, thereafter German legislation and then subsequently are the both legislations compared. The aim of the thesis is to familiarize the readers with the basic differences in the both legislations.

A comparison of the limited liability company with exclusive Czech ownership interest with entities of the same legal form with foreign ownership interest was the main target of the bachelor work. Analysis of the position of a limited liability company among other business entities in the Czech Republic was stated as a second target of the work. The last target given for the thesis was to analyse the legislation of this legal form in the frame of current practice of the court.

The aim of this thesis is to give an interpretation on the responsibility and liability of the statutory bodies of the company, as the statutory body presents a series of rights and obligations, the omission or improper performance can have on society and individuals far-reaching consequences. The thesis contains an analysis of the Act No. 418/2011 Coll. the criminal liability of legal persons and proceedings against them, defining the type of criminal liability of legal persons in Europe and comparison of Czech and Slovak legislation. At the conclusion are included proposals de lege designed law relating to the provisions of Act No. 418/2011 Coll.
Bodies of corporations

The main aim of this thesis is to provide a brief but comprehensive overview of the structure, purport and function of the bodies of corporations as well as of the relations between them in the legal system of the Czech Republic. The bodies concerned are those of a public company, special limited partnership, limited liability company, and joint stock company. Bodies of specific transnational corporations are mentioned as well, bodies of cooperatives (both national and European) are left out. Practice of the Supreme Court of the Czech Republic is mentioned too. However, regarding it's extent, this thesis does not purport to be an all inclusive material dealing with all the individual aspects of the multidimensional phenomenon of the bodies of corporations.
