Accounting and tax aspects of capital transactions with company in comparison with CZ GAAP and IFRS

The topic of this thesis titled " Accounting and tax aspects of capital transactions with company in comparison with CZ GAAP and IFRS" was the definition of ownership transactions with the company and description of some differences between both legislation. The accounting and taxation aspects were first analyzed in terms of theory (regu-lations, definition, history of the business combination and their development from the past to the present, present situation of volume of M&A transactions and method of accounting solutions of these transaction) and subsequently in the form of practical application to particular accounting data of two companies named XYZ a KLM. The practical part mostly deals with merger of companies KLM and XYZ. Both of them were limited liability compa-nies with financial problems. The first part of practical part of this thesis was to analyse the transformation project and progress chart. Then the closing balance sheets and income statements (Czech legislations) of XYZ and KLM were compared with balance sheets and statements according to IFRS. The opening balance sheet of the successor of this transaction (XYZ) was compiled by the purchase method with quantifying valuation difference on acquired assets. Mergers and acquisitions are the most frequent business combinations. Sectors of the economy with the highest number of these transactions are the sectors of industrials & chemicals in the world and the sector of Real estate in Czech Republic. The last chapter is focused on the differences and form IFRS and Czech legislation.
Business combinations (comparation IFRS ans CAS)

The thesis is focused on the process and progress of business combinations under both IFRS and in accordance with Czech legislation. The first part describes the history of the business combination, their origin, development, and gradual changes from the past to the present. The following part focuses on the process and the types of transactions with companies under Czech legislation. The last chapter is focused on the differences and form IFRS and Czech legislation.
Accounting treatment for acquisition of subsidiaries

Diploma thesis deals with accounting treatment for acquisition of subsidiaries. Accounting treatment is shown at the level of consolidated financial statement in accordence with the current version of IFRS. At the beginning of the thesis are briefly state the reasons for the business combination and then is described single control model under IFRS 10. The following are the common elements of the accounting treatment for all possibilities of acquisiton of subsidiaries. The next chapter is devoted to the options of acquisition of subsidiaries. The chapter deals with an acquisition achieved in stages, an acquisition achieved without the transfer of consideration or reverse asquisition.
Goodwill under IFRS

This diploma thesis was focused on goodwill under IFRS specifically for treatment of goodwill, which arises only in acquisitions, involving the formation of relationships between parents and subsidiaries. The main objective was to approach goodwill and everything associated with it in terms of IFRS, which are generally more common for users of financial statements than US GAAP are. A substantial part of the work was devoted to business combinations that involve the recognition of goodwill. Valuation of non-controlling interests was described more specifically as well as impairment test of goodwill. Final analysis was dedicated to real presented data of goodwill in financial statements of three selected companies. Emphasis was placed on the development of discount rates in the years 2008 to 2011.
IFRS 3 Business Combination

International Financial Reporting Standard IFRS 3 Business Combinations settles the rules of identifying, measuring, accounting and reporting for the business combinations. It decides, what is, or is not, a business combination, and explains different types of it. It asks an acquirer to use the acquisition method for accounting for the business combination at the date of acquisition. Especially to correctly recognize all the assets and liabilities acquired in the business combinations, to measure them at their fair value at the date of acquisition, to measure goodwill, and to report the information on business combination required in his financial statements. This thesis deals with the most important aspects of the business combinations, especially mergers. It explains also the most significant differences of the standard IFRS 3 Business combinations compared to the previous vision, and to some national legal regulations, and mentions also the probable development of the international accounting in the future. An attention is given also to the cross-border acquisitions. In its practical part, the thesis focuses to evaluation of fulfilling the requirements to disclose information on business combination in practice.
Exclusion of intra-group relations in consolidation of financial statements in capital acquisitions and transformation of companies

This thesis consists of an analysis of intra-group relations that can occur during the transformation of companies and when the financial statements are consolidated. It also mentions the reasons why it is necessary to eliminate them. It shows the current view of International Financial Accounting Standards on this subject and its historical development. It takes into account the Czech business legislation, especially the accounting legislation in order to underline the importance of the elimination method over the duplicate items in their correct accounting value. The thesis goes through every individual variant with the aim to evaluate which would best fit the generally accepted principles of accounting and would show a fair view of intra-group transactions. It considers also the tax impact of assorted variants of elimination of intra-group relations.
