Diploma thesis is formed as an expert opinion and the goal of this opinion is to find value in use of the company OSRAM Česká republika s. r. o., to the date 1. 10. 2014. The aim of the valuation is to estimate the Value in Use of the company while using the methods of DCF Equity and Branch Multipliers. The parts of the thesis are strategic and financial analysis, opertional asset allocation, value drivers and the estimated financial plan.

The aim of this diploma thesis is to determine the value in use of the company BEJO BOHEMIA, s.r.o. for its only owner -- the dutch company BEJO ZADEN. The appraisal is valid as of 31. 8. 2011. BEJO BOHEMIA, s.r.o. operates as a seller of vegetable seeds. The thesis is divided into following parts: strategic and financial analysis, generators of value, financial plan and appraisal. The appraisal is based on the DCF Equity method (with the use of alternative scenarios) and two alternative methods -- Similar public company method and Book value. The final interval of the appraisal is determined by the alternative scenarios of the DCF Equity methods.

This thesis aims to explain the basic characteristics of valuation method in practice use. The first chapter is about basic character of each method of valuation and factors which influence its applicability. The second chapter mentions estimation of market value/appraisal, includes affecting factors. Then, the third and fourth parts aim to comparing these appraisals (market. vs. price bargaining, subjective and objective, complex appraisal) and price formation for price bargaining in the Czech a EU market. Chain of model facets in appraisal is demonstrated by fair example in the fifth part. Mainly prefeasibility appraisal and bargaining based on the categories of value are followed. These entire complexes comparing of advantages and disadvantages of each category of value with a focus on valuation methods, in particular the consequences of their use are gone to conclusion of my thesis. At the very end of the thesis there are the main points of practical differences and their benefits to it and their contributions summarized.
