European Economic Interest Grouping

The thesis contains a description and a legal analysis of the European Economic Interest Grouping. The goal is achieved through the method of description, analysis and comparison. The first chapters of the thesis are devoted to incorporation of the Grouping, development of legislation relating to the Grouping, applicable system of law and the topic of legal nature of the Goruping. The way of how to incorporate a Grouping is described in the following chapter. Furthermore, the rights and obligations deriving from the membership in a Grouping are explained. The final chapters are devoted to the process of dissolution of the Grouping and to popularity of the Grouping throughout the EU countries.
Company members' liability

This bachelor thesis provides a complex review of problems concerning liability of company members and is divided into three chapters. The first chapter deals with the term "company", the historical development of companies focusing on the territory of the Czech Republic, and presents the basic characteristics of the particular types of companies which can be promoted in the Czech Republic. The second chapter is fundamental since it analyzes the liability of company members in every company type which can be formed in the Czech Republic, i. e. in unlimited liability company, limited partnership company, limited liability company, joint-stock company, European economic interest grouping and European company. On the basis of judicature the last chapter gives answers to questions directly or implicitly connected with the liability of members for obligations of the company.
European Economic Interest Grouping

The theme of this bachelor thesis concerns European Economic Interest Grouping (EEIG). The theoretical part deals with main aspects of grouping which are legal regulations, termination and dissolution of a grouping. The practical part of this bachelor thesis demonstrates the confrontation of European Economic Interest Grouping with G.I.E. (Groupement d'intéret économique), which is comparable with Economic Interest Grouping in French business law. This grouping was a model for EEIG. Furthermore the thesis deals with statistics of EEIG in member states of European Union. The biggest attention is paid to EEIG in Czech Republic. In the conclusion the thesis is briefly summarized. Then the position of EEIG regarding other international forms of business in European Union is evaluated.
