Tax Impacts of Business Corporation Transformation

This diploma thesis is aimed at transforming commercial companies, which are enshrined in Law No. 125 / 2008 Coll., on transformations of companies and cooperatives. The theoretical part deals both with individual corporate conversions and the legal and accounting aspects of these conversions, and in particular the tax implications. The practical section lists the two most common cases of corporate transformations, namely divisions and mergers. This section serves to identify important knowledge and information related to the corporate transformation process. The third part of the diploma thesis deals with the assessment of practical cases.

Gender and Law Abstract Currently, the terms sex and gender are the subject of much debate. Recently, the Czech courts have had the opportunity to comment on these terms in the case of a non-binary person who was assigned male sex at birth and whose application to change their birth number to neutral or female was denied because they did not meet the condition for undergoing a sex change under the current legislation - they did not undergo a surgical procedure that rendered her unreproductive. In other words, she has not undergone the castration required by law. In their decisions, the Supreme Administrative Court and the Constitutional Court provide an interpretation of gender, its conception, characteristics and its role in the Czech legal system. The opinions of these highest courts in the Czech Republic not only reflect the social understanding of the issue of gender reassignment, but also shape the social understanding through their authoritative interpretation of these concepts in the context of the legal order. Therefore, it is relevant and necessary to critically analyse these decisions, which is the aim of this paper. JUDr. Vladimír Vochoč. Czechoslovak consul in Marseille 1938-1941

Životní příběh JUDr. Vladimíra Vochoče, který jsem si vybral jako téma své rigorózní práce, se dá vnímat z několika perspektiv. Bezpochyby nejdůležitější je Vochočova činnost za II. světové války, kdy působil jako československý konzul v Marseille nejen po březnu 1939, ale i po porážce Francie. Podařilo se mu díky osobní odvaze a zevrubné znalosti mezinárodního práva udržet v chodu konzulát a pomáhat Čechoslovákům i německým a rakouským emigrantům ohrožených nacisty až do března 1941, kdy byl na nátlak Němců konzulát uzavřen. Z tohoto pohledu se Vochoč, dosud řadový úředník ministerstva zahraničních věcí, ukazuje jako "hrdina všedního dne", tedy člověk, který jakoby pouhým dodržováním úřední přísahy československému státu a zásluhou vnitřního přesvědčení dokázal tváří v tvář bezprostřednímu nebezpečí obstát ve zkoušce, ve které mnozí z jeho kolegů obstát nedokázali. Tato "hvězdná hodina" Vochočova života se stala ústředním bodem mé práce. Pro pochopení Vochočova postoje v krizových okamžicích během války je ale nutné přiblížit také období utváření jeho osobnosti, vlivu jeho rodiny a prostředí, ze kterého vyšel. V tomto okamžiku se ukazuje další možná perspektiva Vochočova životního příběhu vyrůstajícího z kořenů demokratické a silně vlastenecké rodinné tradice - účasti děda Františka na májovém spiknutí...
