Insolvency of a Subsidiary Corporation and its Group Consequences

Insolvency of a Subsidiary Corporation and its Group Consequences Abstract The thesis deals with insolvency of a subsidiary corporation and its group consequences. The thesis focuses on description and analysis of consequences of subsidiary's insolvency putting emphasis on parent company and the way in which creditors of a subsidiary can protect their claims within the Czech corporation and insolvency law. The keynote of the thesis is the fact that the economic reality of operation of a corporate group collide with the separate entity principle and the doctrine of limited liability. First the thesis analyses the ways how the parent company exerts influence over the subsidiary, because on its relation to the subsidiary depend the consequences concerning the responsibility for the insolvency of the subsidiary. Then the concept of de facto directors and shadow directors is explained. This concept is based on the real economic direction of the corporation, so the creditors could reach the assets of parent company by this concept without using the ultimate means as the doctrine of piercing the corporate veil. Finally, the thesis describes particular institutes of Czech corporation and insolvency law that provides for consequences that the insolvency of the subsidiary could cause in the sphere of the parent...

External U.S.Relations at the beginning of the 21st Century: America versus Asia

As long as the states of East Asia can keep the growing rate of their economies, they can become the centre of the world economy in oncoming years. China and India have potetial to become regional superpowers and to dominate the world economy and replace the USA in this position. The USA must not lose their influance in Asia to remain the world superpower and creator of the world order. They need to find allies in Asia, that can help them to become a part of asian regional integrations and have influence on their development. The US goal is to carry through their own trans-pacific integration, that could be basis for Asia-Pacific Free Trade Area. The success of this integration indipends on U.S.-China`s relations and on the way how they will be able to solve their mutual disputes (chinese currency policy, commitments to WTO, chinese indigenous innovation policy etc.).

Perspectives of transatlantic free trade area

The thesis focuses on possible formation of transatlatnic free trade area. We summarize the relations between EU and the USA and key documents that underlie existing transatlantic relations. The thesis describes present economic relations between EU and the USA relating to volumes of mutual trade in goods and services and in investments flows. The thesis suggests that EU and the USA would benefit by strenghtening their cooperation and the both sides should be interested in formation of transatlatnic free trade area in the future.
