Liquidation of business corporations without legal successor in the Czech Republic

This diploma thesis is focused on the process of liquidation of the business corporations without a legal successor in accordance with Czech legislation. The liquidation is defined in law, accounting and tax perspective. The practical part of the thesis shows process of liquidation on the example of fictitious company but also on the company from the practice. On the other companies the hypothesis is verified: "Business corporations which are more than 50 % owned by the state publish financial statements."

This thesis deals with the liquidation of business corporations in the Czech Republic. The whole course of the liquidation from voluntary decision itself to deletion from the Commercial Register is considered from the financial, tax and legal perspective. There are descripted the duties and rights of the liquidator and the possibility of transition from liquidation in insolvency proceedings. The findings are in the practical part demonstrated on concrete examples selected from the Commercial Register.

The goal is a seamless implementation of the liquidation of the greatest benefits for shareholders.

The thesis deals with legislative aspects of the abolition of corporate insolvency and dealing with the expression of the economic consequences arising from the demise of the organization to key stakeholders (employees, state, creditors). The theoretical part deals with basic concepts related to corporate, legal forms of business characteristics, causes and forms of dissolution and its subsequent liquidation process. The practical part focuses on the company, joint stock company, which is in liquidation and the economic consequences arising from the termination of the business activities of this company for state employees and creditors of the organization.

The goal of this thesis is to describe the liquidation procedure and to point out the mentioned problems that could occur during liquidation. The practical part of this thesis contains activities of liquidator in the non-stock company. Focus of the Bachelor´s thesis is to understand these problems.

Analysis of Vehicle Damage after a Minor Car Accident

The thesis deals with the analysis of small accidents. Its attention is focused on the estimated amount of money needed to repair a vehicle immediately after the accident and later on the real amount that is actually necessary to fix the vehicle. In practice, it often happens that an accident may seem minor at first glance. Only after dismantling of a damaged vehicle and its parts it is found that the damage is much greater than initially predicted. Attention is focused as well on constantly growing insurance frauds. Nowadays, there is no literature concerning this issue.

abstract Aim of this Master's Thesis is to describe the process of liquidation to the reader step by step from winding-up of the company to its dissolution and focus on prospective problems that might arise in connection therewith. Based on the valid legislation the theoretical part deals with basic terms and explanation thereof with regards to anticipated effectiveness of the New Civil Code and Act on Business Corporation in January 2014 and changes related thereto. The practical part contains description of the liquidation process of the fictitious limited liability company. Key words: liquidation, liquidator, winding-up and dissolution of the company
