Tato diplomová práce se zabývá stanovením objektivizované hodnoty společnosti EG.D, s.r.o. k rozhodnému dni 31. 12. 2024. Ocenění je provedeno s důrazem na specifika fungování podniku v prostředí přirozeného monopolu a přísné cenové regulace v odvětví distribuce elektrické energie. Práce rovněž reflektuje zásadní korporátní transformaci podniku z počátku roku 2024, kdy došlo k odštěpení plynárenské divize. Na základě strategické a finanční analýzy je sestaven autonomní finanční plán pro explicitní období let 2025–2030, který úzce navazuje na pravidla nového VI. regulačního období stanoveného Energetickým regulačním úřadem (ERÚ). K samotnému ocenění je primárně využita metoda diskontovaných peněžních toků ve variantě pro celou entitu (DCF Entity), jež je následně úspěšně verifikována metodou ekonomické přidané hodnoty (EVA). Závěrečná citlivostní analýza prokazuje, že nejvýznamnějším systematickým rizikem pro tržní hodnotu podniku je nastavení regulačního rámce, zejména pak schopnost plnit kvalitativní motivační ukazatele (KPI) a obhájit uznatelnost vnitroskupinových nákladů (SLA).
This diploma thesis focuses on determining the objectified enterprise value of EG.D, s.r.o. as of December 31, 2024. The valuation is conducted with an emphasis on the specifics of operating a natural monopoly under strict price regulation within the electricity distribution sector. The thesis also reflects the major corporate transformation from early 2024, when the gas division was spun off. Based on strategic and financial analyses, an autonomous financial plan is constructed for the explicit period of 2025–2030, closely tied to the rules of the new VI. regulatory period set by the Energy Regulatory Office. The primary valuation method used is the Discounted Cash Flow approach for the entire entity (DCF Entity), which is subsequently verified by the Economic Value Added (EVA) method. The final sensitivity analysis demonstrates that the most significant systematic risk to the company's market value lies in the regulatory framework settings, particularly the ability to meet qualitative key performance indicators (KPIs) and to justify the eligibility of intra-group service level agreement (SLA) costs.
