Diplomová práce se zabývá problematikou občanskoprávní odpovědnosti za újmu při porušení náležité péče dle Směrnice o náležité péči ve vztahu k českému právnímu řádu, zejména občanskému zákoníku. Skutková podstata občanskoprávní odpovědnosti ze Směrnice o náležité péče vlivem úpravy Věcného Omnibusu zmizela. Je tedy otázkou prostřednictvím jakých ustanovení českého práva jsme s to odpovědnost dovodit, tato práce se zabývá vztahem Směrnice o náležité péči a § 2910 občanského zákoníku. Autor práce na první místě srovnává příslušnou úpravu občanského zákoníku s německým a rakouským právním řádem, jakožto možnými zdroji poznání. Dále se zabývá tím, zda je možné dovozovat aplikaci věty první § 2910 občanského zákoníku na porušení náležité péče dle CSDDD. Autor na základě podobnosti s německým právem, názorech české doktríny a účelu Směrnice o náležité péči připouští právě použití věty první § 2910 občanského zákoníku. Diplomová práce se dále zabývá tím, zda lze považovat Směrnici o náležité péči za ochrannou normu. Na tomto místě autor uzavírá, že v některých případech ano. Na druhou stranu však nelze nahrazovat čisté ekonomické škody a obecně škody na relativních právech poškozených vzniklé. Význam věty druhé § 2910 občanského zákoníku je tak tímto smazán a není racionálního důvodu jej při porušení... This thesis examines the issue of civil liability for harm resulting from a breach of due diligence under the Corporate Sustainability Due Diligence Directive (CSDDD) in the context of the Czech legal system, specifically the Civil Code. Following legislative changes within the so-called "Material Omnibus" (Věcný Omnibus), the specific statutory basis for civil liability originally envisioned by the Directive was omitted. Consequently, the core question is which provisions of Czech law can be used to establish liability. This work focuses on the relationship between the CSDDD and Section 2910 of the Civil Code. The author first compares the relevant provisions of the Czech Civil Code with the German and Austrian legal systems, treating them as primary sources of interpretation. Furthermore, the thesis investigates whether the first sentence of Section 2910 of the Civil Code can be applied to breaches of due diligence under the CSDDD. Based on similarities with German law, the opinions of Czech legal doctrine, and the underlying purpose of the Directive, the author argues in favor of applying the first sentence of Section 2910.
