Tato práce se věnuje zákonným předpokladům pro odvolání jednatele, a to jak v rovině obecné právní úpravy, tak v rovině jejího výkladu judikaturou a odbornou literaturou. Primárně se zaměřuje na odvolání jednatele pro porušení povinností při výkonu funkce a rozebírá obsah a rozsah povinností jednatele, jak zákonných, tak smluvních. Zkoumá též intenzitu porušení povinností a její relevanci pro rozhodování valné hromady. Práce se dále soustředí na náležitosti pozvánky na valnou hromadu při odvolání jednatele z důvodu porušení povinnosti při výkonu funkce, zejména na konkrétní vymezení tvrzené porušené povinnosti v pozvánce a na praktické důsledky nedostatečné specifikace. Práce se dále zabývá průběhem valné hromady a souvisejícími procesními otázkami, především sistací hlasovacích práv odvolávaného jednatele, který je zároveň společníkem, podmínkami jejího uplatnění a možnosti její smluvní modifikace. Rozebrána je rovněž otázka usnášeníschopnosti valné hromady v těchto situacích a role předsedy valné hromady při posuzování splnění podmínek pro omezení hlasovacích práv, včetně standardu jeho péče a rozsahu odpovědnosti. V návaznosti na proces odvolání práce analyzuje možné vady usnesení valné hromady o odvolání jednatele a jejich právní důsledky. V neposlední řadě se práce věnuje možnostem obrany... 1 Abstract This diploma thesis examines the statutory prerequisites for the removal of a managing director, both at the level of the general legal framework and its interpretation in case law and legal scholarship. It primarily focuses on the removal of a managing director for breach of duties in the performance of office and analyses the content and scope of the managing director's duties, whether statutory or contractual. The thesis also examines the intensity of the breach of duties and its relevance for decision-making by the general meeting. Furthermore, the thesis concentrates on the formal requirements of the notice convening the general meeting in cases where a managing director is to be removed for breach of duties in the performance of office, in particular on the requirement to specifically define the alleged breached duty in the notice and on the practical consequences of insufficient specification. The thesis also addresses the course of the general meeting and related procedural issues, in particular the suspension of the voting rights of the managing director being removed who is simultaneously a shareholder, the conditions for its application, and the possibility of its contractual modification.
