Zapojení umělé inteligence do rozhodování voleného orgánu kapitálové společnosti Abstrakt Tato diplomová práce se zabývá možnostmi zapojení umělé inteligence do rozhodovacího procesu členů volených orgánů obchodních korporací a vlivem takového zapojení na jejich povinnost jednat s péčí řádného hospodáře. Hlavním cílem práce je analyzovat vliv využívání umělé inteligence na povinnost péče řádného hospodáře a pravidlo podnikatelského úsudku a posoudit, za jakých podmínek lze její využití považovat za v souladu s požadavky na řádný výkon funkce. Práce vychází z analýzy současné právní úpravy a jejího výkladu, přičemž reflektuje dynamický technologický vývoj v oblasti umělé inteligence, který může ovlivňovat standard chování členů volených orgánů. V úvodní části jsou vymezeny základní charakteristiky umělé inteligence, její přínosy a rizika relevantní z právního hlediska. Následně je analyzována povinnost péče řádného hospodáře a pravidlo podnikatelského úsudku v kontextu využívání moderních technologií. V této souvislosti je posuzována také otázka, zda by za určitých okolností mohlo nevyužití umělé inteligence představovat porušení těchto povinností. Samostatná část práce se zaměřuje na otázku, zda by umělá inteligence mohla vystupovat jako člen voleného orgánu, a identifikuje právní a praktické překážky... Involvement of artificial intelligence in decisions made by elected body of a limited company Abstract This thesis examines the possibilities of integrating artificial intelligence into the decision-making processes of members of elected bodies and the impact of such integration on their duty of care. The main objective of the thesis is to analyse the influence of the use of artificial intelligence on the duty of care and the business judgment rule, and to assess under what conditions its use can be considered compliant with the requirements for the proper performance of duties. The thesis is based on an analysis of the current Czech legal framework and its interpretation, while reflecting the dynamic technological development in the field of artificial intelligence, which may influence the standard of conduct expected from members of elected bodies. The first part defines the basic characteristics of artificial intelligence, as well as its benefits and risks relevant from a legal perspective. This is followed by an analysis of the duty of care and the business judgment rule in the context of the use of modern technologies.
