[cze][eng] Diplomová práce se zabývá institutem péče řádného hospodáře jako jedním ze stěžejních principů správy cizího majetku v českém a britském právním řádu. Péče řádného hospodáře představuje soubor pravidel chování ukládajících členům orgánů obchodních korporací povinnost postupovat loajálně, s potřebnými znalostmi a s odbornou pečlivostí. Práce analyzuje, jak je tento institut teoreticky ukotven, jak se historicky vyvíjel a jak je uplatňován v právní praxi dvou odlišných právních kultur. Zatímco český právní řád vychází z kontinentální tradice založené na kodifikaci povinností, britský právní řád staví na precedentní povaze common law a na široce formulovaných fiduciárních principech konkretizovaných judikaturou. Cílem této práce je vyzkoumat hlavní rozdíly a styčné body obou přístupů a posoudit, nakolik jsou tyto odlišnosti dány rozdílnou právní kulturou, strukturou právního řádu a rolí soudů při výkladu právních norem. Výzkum vychází z analýzy české právní úpravy obsažené zejména v občanském zákoníku a zákoně o obchodních korporacích, dále z britského Companies Act 2006 a klíčové judikatury anglických soudů. Pozornost je věnována také postavení povinnosti loajality, otázce míry odborné péče, pravidlu podnikatelského úsudku a následkům porušení fiduciárních povinností.This thesis examines the concept of the duty to exercise reasonable care, skill and diligence, understood as one of the fundamental principles governing the management of another’s property in Czech and British law. This duty comprises a set of behavioural standards requiring members of corporate bodies to act loyally, in an informed manner, and with appropriate professional diligence. The thesis analyses the theoretical foundations of this concept, its historical development, and its application in legal practice within two distinct legal cultures. While Czech law builds on the continental tradition of codified obligations, British law relies on the precedent-based nature of common law and on broadly formulated fiduciary principles further refined through case law. The aim of the thesis is to identify the main differences and points of convergence between the two approaches and to assess the extent to which these divergences arise from differences in legal culture, legal structure, and the role of the courts in interpreting legal norms. The research draws on an analysis of the Czech legal framework, in particular the Civil Code and the Commercial Code, as well as the UK Companies Act 2006 and key judgments of the English courts. Attention is also devoted to the role of the duty of loyalty, the required standard of care and skill, the business judgment rule, and the consequences of breaching fiduciary duties.
