Právní aspekty protokolárního předání a převzetí díla Abstrakt Tato rigorózní práce se zabývá právními aspekty protokolárního předání a převzetí díla, a to zejména v kontextu platné právní úpravy. S ujednáním o protokolárním předání a převzetí díla se lze ve smluvní praxi setkat takřka na každodenní bázi, a proto považuji pojednání o tomto fenoménu za vysoce aktuální a praktické. Cílem této rigorózní práce je analyzovat ustálenou rozhodovací praxi Nejvyššího soudu, která umožňuje objednateli svévolně zabránit vzniku práva zhotovitele na zaplacení ceny díla za předpokladu, že je mezi stranami sjednáno protokolární předání a převzetí díla jakožto hmotněprávní podmínka vzniku práva na zaplacení ceny díla, a přinést odpověď na otázku, zdali je tato rozhodovací praxe rozporná s platnou právní úpravou, jak dovozuje právní doktrína. I proto jsou předloženy a blíže rozvedeny argumenty, které zaujímá právní doktrína ve prospěch změny této konstantní rozhodovací praxe, a to společně s návrhem de lege ferenda. V rigorózní práci je přitom využita zejména metoda deskriptivní, analytická, kritická a komparativní. Rigorózní práce je členěna do úvodu, čtyř kapitol a závěru. Úvodní kapitola, v rámci které je uplatněna deskriptivní metoda, je strukturována tak, aby čtenáři poskytla možnost seznámit se s obecnou právní... Legal Aspects of the Handover and Acceptance Protocol Abstract This rigorous thesis deals with the legal aspects of the formal handover and acceptance of work, particularly in the context of the applicable legal regulations. Agreements on the formal handover and acceptance of the work are encountered on an almost daily basis in practice, which is also why I consider this topic to be highly relevant and practical. The aim of this rigorous thesis is to analyze the established case-law of the Supreme Court of the Czech Republic, which allows a client to arbitrarily prevent a contractor from exercising his right to payment for the work, assuming that the parties have agreed on a formal handover and acceptance of the work as a substantive condition for the right to payment for the work. And also, to answer the question of whether this case-law is contrary to the applicable legal regulations, as argued by legal doctrine. For this reason, arguments in favor of changing this consistent case-law are presented and described in detail, together with a suggestion de lege ferenda.
