60 Prvotní nabídka blockchainových tokenů Abstrakt Tato diplomová práce se zabývá procesem prvotní nabídky blockchainových tokenů (ICO) a jeho novou právní úpravou podle nařízení (EU) 2023/1114 o trzích kryptoaktiv, známého pod zkratkou MiCA. Cílem práce je analyzovat, zda toto nově přijaté nařízení přináší potřebný a funkční právní rámec pro oblast ICO a posoudit jeho možné dopady na rozvoj inovací, integritu trhu, zjednodušení procesu ICO a ochranu držitelů kryptoaktiv. Práce je rozdělena do čtyř kapitol. První kapitola práce se věnuje vymezení klíčových pojmů týkajících se kryptoaktiv, technologie distribuovaného registru, technologie blockchain a jednotlivých druhů kryptoaktiv, které představují nezbytný teoretický základ pro pochopení právní úpravy ICO. Dále práce vymezuje podstatu procesu ICO a zabývá se jeho jednotlivými fázemi, možnými výhodami a riziky, včetně výskytu podvodných schémat. ICO je následně srovnáno s dalšími tradičními formami financování, jako jsou prvotní veřejná nabídka akcií, rizikový kapitál a crowdfunding. Ve třetí kapitole je analyzováno nařízení MiCA a právní úprava týkající se ICO, jednotlivých druhů tokenů a povinností uložených vydavatelům kryptoaktiv a osobám nabízejícím kryptoaktiva. Důraz je kladen především na právní úpravu veřejného nabízení jiných kryptoaktiv podle... 61 Initial Blockchain Token Offering Abstract This thesis focuses on the process of initial coin offering (ICO) of blockchain tokens and its new legal regulation under Regulation (EU) 2023/1114 on markets in crypto-assets, known as MiCA. The aim of the thesis is to analyse whether this newly adopted regulation provides a necessary and functional legal framework for the ICO sector and to assess its potential impact on the development of innovation, market integrity, simplification of the ICO process, and protection of crypto-asset holders. The thesis is divided into four chapters. The first chapter of the thesis is dedicated to defining key terms related to crypto-assets, distributed ledger technology, blockchain technology, and different types of crypto-assets, which form the necessary theoretical basis for understanding the legal regulation of ICO. The thesis further defines the essence of the ICO process and deals with its individual phases, potential advantages and risks, including the occurrence of fraudulent schemes. The ICO is then compared with other traditional forms of financing, such as initial public offerings, venture capital, and crowdfunding.
