Zájmová kolize člena statutárního orgánu při zastupování obchodní korporace Abstrakt Práce se zabývá jednotlivými případy zájmové kolize člena statutárního orgánu, při kterých mu vzniká informační povinnost, a způsobem plnění této informační povinnosti vůči jednotlivým orgánům v kapitálových společnostech. Za účelem zodpovězení jednotlivých dílčích otázek při řešení práce autor analyzuje odbornou literaturu a judikaturu nižších i vyšších soudů. Poukazuje přitom na řadu interpretačních otázek, jejichž řešení není jednoznačné ani mezi odbornou veřejností. Nejprve zasazuje téma do širšího kontextu a následně přibližuje jednotlivé případy zájmové kolize, které systematicky člení na obecný a konkrétní střet zájmů. Poukazuje přitom na několik případů, u kterých není zcela jednoznačné, zda má být aplikována právní úprava obecného nebo konkrétního střetu zájmů. Zabývá se otázkou, zda lze za osobu blízkou členu statutárního orgánu považovat také právnickou osobu, ve které člen statutárního orgánu obchodní korporace rovněž působí jako člen statutárního orgánu. Autor dovozuje, že se řešení této otázky liší v závislosti na tom, zda se jedná o případ obecného nebo konkrétního střetu zájmů. Vedle toho upozorňuje na případy, kdy má být uzavřena smlouva mezi obchodní korporací a jinou právnickou osobou, v níž působí osoba... Conflict of interest of a member of the governing body when representing a business corporation Abstract The thesis focuses on individual cases of conflict of interest of a governing body member in which the information obligation arises and on the manner of fulfilling this information obligation towards individual bodies in capital companies. To answer individual sub-questions of the thesis, the author analyses academic literature and case law of both lower and higher courts. In doing so, he points out several interpretative issues, the solution of which is not unambiguous even among the professional public. It first sets the topic in a broader context and then introduces individual cases of conflict of interest, which it systematically divides into general and specific conflicts of interest. In doing so, it highlights several cases where it is unclear whether the general or specific conflict of interest legislation should be applied. It deals with whether a legal person in which a member of the governing body of the business corporation also acts as a member of the governing body may be regarded as a close person of the member of the governing body of the business corporation.
