Reorganizace a restrukturalizace v českém a evropském právu Tato diplomová práce se zabývá českou a evropskou právní úpravou sanačního řešení úpadku právnických osob. V první části je rozebírána česká varianta reorganizace v rámci insolvenčního řízení, která je poté srovnána s právní úpravou Německa a Nizozemí. Jsou zde rozebrány fáze předcházející rozhodnutí o reorganizaci společnosti jako například soudní moratorium, dále sestavení, schválení a účinky reorganizačního plánu, úvěrové financování či ocenění majetkové podstaty dlužníka. V druhé části se tato práce věnuje směrnici o restrukturalizaci a insolvenci přijaté v roce 2019 a důvodům jejího přijetí. Jsou zde nastíněny možné způsoby implementace této směrnice do českého právního řádu a úskalí, se kterými bude nutné se vypořádat. Rovněž jsou zde vysvětleny nejpodstatnější instituty zavedené touto směrnicí jako například systémy včasného varování, financování či náležitosti restrukturalizačních plánů. Jelikož tato směrnice byla již promítnuta do právních řádů Německa, Nizozemí a Řecka, věnuje se tato práce i podobě jejich úprav. Nakonec jsou srovnány tyto typy sanačních řešení podniků, jsou představeny jejich výhody a nevýhody a dopady nového institutu preventivní restrukturalizace na český právní řád. Reorganisation and restructuring in Czech and European Law This thesis deals with the Czech and European legal regulation of corporate bankruptcy rehabilitation. In the first part, the Czech variant of reorganisation in insolvency proceedings is analysed and then compared with the German and Dutch legislation. The phases preceding the decision to reorganise a company, such as the court moratorium, the drafting, approval and effects of the reorganisation plan, credit financing and the valuation of the debtor's assets are discussed. In the second part, this paper examines the Restructuring and Insolvency Directive accepted in 2019 by European Union and the reasons for its adoption. It outlines the possible ways of implementing this directive in the Czech legal system and the pitfalls that will have to be dealt with. It also explains the most important institutes introduced by the Directive, such as early warning systems, financing of the debtor and the elements of restructuring plans. Since the Directive has already been transposed into the laws of Germany, Netherlands and Greece, this paper also looks at the form of their arrangements.
