Práce pojednává o institutu smlouvy o smlouvě budoucí v pojetí obchodněprávní úpravy. Ačkoli je těžištěm tématu rozbor tohoto právního institutu dle jeho v současné době platné právní úpravy, obsahuje tato práce i stručný historický exkurz o vývoji institutu pacta de contrahendo. Důvodem je skutečnost, že smlouva o smlouvě budoucí je právním institutem s hlubokou historií, která sahá až do práva římského, přičemž nemůže být pochyb o tom, že dlouhodobý historický vývoj institutu smlouvy o smlouvě budoucí přispěl k formování jeho aktuálně platné podoby a pojetí. Z pohledu platné právní úpravy smlouvy o smlouvě budoucí provedené obchodním zákoníkem se práce zabývá jednotlivými náležitostmi tohoto právního institutu, tj. subjekty, které mohou smlouvu o smlouvě budoucí uzavřít, jakož i pro obsah smlouvy o smlouvě budoucí esenciálními náležitostmi podmiňujícími její platné sjednání. Řešeny jsou i důsledky porušení povinností vyplývajících z uzavření pacta de contrahendo. Souběžně s rozborem platné obchodněprávní úpravy institutu pacta de contrahendo je upozorňováno i na vzájemné odlišnosti ve vztahu k úpravě institutu pacta de contrahendo v platném občanském zákoníku. V souvislosti s návrhem nového občanského zákoníku, který by měl pro futuro představovat základní civilní kodex, je při řešení institutu... Resumé Agreement on the Future Agreement according to the arrangement of Commercial Code The thesis deals with the institute of a contract about a future contract in the sense of a commercially legal adjustment. Although the focus is on the analysis of the legal institute according to its currently valid arrangement, the thesis also contains a brief historical excursus about the development of the pacta de contrahendo institute. The reason for it is the fact that a contract about a future contract is a legal institute with a long history which dates in the Roman law, where there cannot be any doubt that the long historical development of the institute of a contract about a future contract contributed to the forming of its current form and concept. From the point of view of the valid legal adjustment of a contract about a future contract implemented by the code of law the thesis deals with single necessities of this legal institute, as to say with the subjects which can conclude a contract about a future contract with essential necessities which condition its valid negotiation. It is also dealt with the consequences of breaking the obligations following from concluding pacta de contrahendo.
