The Instruments of Protecting Creditors of the Joint Stock Company

1 The Instruments of Protecting Creditors of the Joint Stock Company Abstract The aim of submitted thesis is to analyse those instruments of the business corporations law that have a purpose to ensure a certain level of creditor protection in relation to the joint stock company as a typical representative of a capital company. The key characteristic of this form of a business company is a limited (or more precisely de facto excluded) liability of shareholders for its debts and a strict application of a separate ownership principle. On the one hand, this fact leads to its use for important business projects, but on the other hand, it also increases a probability of moral hazard by shareholders in some situations, which is contrary to interests of creditors. This is connected especially with a distribution of sources by a joint stock company to its shareholders. Instruments applied by a business corporations law are able to react to the riskiest situations and they also have a preventative character. Categorization of these instruments is a part of an introduction to this thesis together with a classification of creditors, which form a heterogenous group with different power and particular interests. Hradilová, G. Protecting the interests of creditors in bankruptcy proceedings. Bachelor thesis. Brno: Mendel University, 2017. The bachelor thesis is divided into literary research and own work. Within the framework of the literary research there is an outline of the legal regulation of insolvency proceedings. In particular, it focuses on solving the bankruptcy of the debtor through bankruptcy, where the creditor's position plays the main role. Own work includes an analysis of bankruptcy companies, and examples of these are the practices and recommendations on how the creditors should effectively achieve their goals. The issue is examined not only from the viewpoint of the creditor as companies, but also of the common person in this case of the employee. At the end of the thesis there are described recommendations for companies and person in the role of creditor.

The text describes the general transformation of business corporations, the protection of weaker parties, especially creditors, during the transformation. This is also shown in a practical example of a merging company. The thesis contains an overview of their obligations and analysis of their behavior towards creditors. Also recommendations for these and other creditors, how they should behave in this situation, so that they do not lose their outstanding claims.
To which extent are private pensions in life insurances protected in case of bankruptcy?

The German State promotes the setting up of private pension insurance from a tax perspective, in particular via life insurance. This is done with the aim of citizens not being dependent on social benefits when they reach old age (principle of subsidization). This is contrasted with the interests of the creditors of the citizens whose monetary claims are protected by the protection of property requirement of the constitution. The building up of assets and asset protection among citizens therefore involves tension between the interests of creditors and realizing retirement pension assets. Taking life insurance as an example, the investigation shows that protection of creditors in Germany is predominant. Protection of the life insurance asset dominates in Switzerland and even more so in Liechtenstein. From the point of view of welfare economics, Germany offers assets protected against enforcement, which only protects pension payments below the subsistence level. Life insurance in Switzerland and Liechtenstein offer "homo economicus" -- above all the self-employed -- additional asset protection for taking care of the family.

The bachelor´s thesis focuses on the evaluation of the debts of chosen business entity from 2015 to 2019. The theoretical part of the thesis is focused on important juridical terms and debts from an economic point of view. The analytical part of the thesis deals with the development of debts of specific entity and methods of securing and collecting debts which this entity uses. Based on the analytical part of the thesis, suggestions are made for the improvement of the current situation of securing and collecting debts.

This bachelor thesis deals with securement and enforcement of debts especially in the case of debtor’s insolvency. Theoretical part describes fundamental concepts from legal, accounting, tax, and economic point of view. Analytical part deals with satisfaction, assignment, and securement of claims of three creditors during the insolvency proceedings. This is followed by outlined measures for creditors regarding failed repayment of claims and to obtain the highest possible satisfaction in case of debtor’s insolvency.

Based on the obtained information from the analytical part, entrepreneurs are proposed ways of more effective securing claims and their enforcement.
