The governing bodies of a cooperative

In some point of human development natural persons were just not enough. That is why artificial persons were incorporated into legal system of modern countries. They were given rights and duties almost identical to natural persons. One of those was society. Society is a person with open membership. Its purpose is to aid and encourage members in their business, economical, social and other needs. The thought of creating such an artificial person originated in the first half of the 19th century. The first real society was created on the 24th October 1844 in Rochdale in England. In our territory first society was created soon after that in 1846. I chose this topic as my thesis because I believe that societies are important part of our legal system and also life of many people though they are sometimes overlooked. For example I live in a flat that is part of a big society in our town. The purpose of my thesis is firstly to identify problems, gaps and disputative questions in the legal regulations. Then I try to present opinions and answers given by our jurisprudence and judicature. I also try to give my perspective and opinions on the matter. Internal Guidelines in "Byt a servis, družstvo Olomouc"

In my Thesis I focus on problems about international guidelines in Byt a servis, družstvo Olomouc. In first part I deal with bacis concepts like international guidelines and their partition, characteristic home owners association and cooperative. In second part I will do basic analysis about company and current status of international guidelines, which has company processed and about their quality. In conclusion of my thesis I suggest treatment of lacks and design a missing international guidelines.

Housing Cooperatives Formed by "Privatization"

The diploma project looks at founding of housing cooperatives caused by residential housing privatization. Privatization process and housing cooperatives evolvement in Czech Republic since 1989 year are outlined in the project. The project covers housing cooperatives aspects, establishment and specifics of housing cooperatives legal entity. Ways to privatize the community housing fund according to the community housing policy are explored and explained. Specifically the project studies the privatization process of the city of Prostejov residential housing fund.

The choice of the enterprise form from the sight of income tax

Master´s thesis deals with possibility of choice different legal forms of business in the economic environment of Czech republic and choice of the enterprise which is the most suitable from the sight of income tax. I deal with choice of an appropriate type of partnership and comparison of different legal forms, which are based on the analysis of individual types of partnership by important criteria. Especially I focused on the criterion of the tax burden. Besides of the criterion of the tax burden it´s necessary also mention and judge the proper place - seat of an individual/a legal entity which is connected with taxation to the individual country. And take possibility of international tax planning into consideration. The aim of the thesis is to find and choose the most appropriate legal form of the enterprise to the potential entrepreneur.

Application of organization design models upon a company employing handicapped people

This bachelor thesis objective is to apply three models of organization design upon a company employing handicapped people and to draw conclusion from them. The thesis concentrates specifically on Six-Box Model, McKinsey 7S Model and Mintzberg's Model. In the first part of this thesis, models are looked upon from theoretical point of view. It is described how they function and how they are supposed to be applied. In the next section, models of organization design are applied upon a company, in which 50% of employees are made up of handicapped people. Applied models are then compared to each other and a conclusion that organizational changes in the company need to be incorporated is drawn.

Concurrence of functions – history, development and problems of past and current legal regulations

According to the jurisdiction statutory representatives of companies, executives or members of Boards of Directors, cannot simultaneously be employed in the company on a position with a similar capacity. This problem has been discussed in the Czech Republic since 1993 when the first decision was held. In 2010 Supreme Administrative Court confirmed this statement and impugned the validity of health and pension insurance of this employee. The long-ignored problem has caused panic because the concurrence of functions is an issue for 80-90% of Czech companies and therefore the Ministry of Justice of the Czech Republic has initiated a legislative solution to this problem and prepared an amendment to the Commercial Code which allows the concurrence of functions.

Privatization of State Property

This bachelor's thesis describes specific method of the privatization of state property, direct transfer of Czech republic property right onto a non-state legal entity, via the particular case. The goal of this thesis is to sum up and clearly define not quite usual issue. In the first part are defined basic terms such as state property, possibilities of the state property transfer etc. The second part introduces the issue of the specific case, housing property trasfer from government department onto a housing co-operative. The third part describes this certain development of privatization.
