This thesis deals with the business valuation. The main goal of this diploma thesis is to estimate the market value of a company with the purpose of a sale to a potential buyer. The thesis is structured into two parts: theoretical a practical part. The theoretical part describes the methods and process of company valuation. The goal of the practical part is to apply theoretical findings on the specific company and make an estimate of its value. The practical part includes description of the chosen company, strategic and financial analysis and prediction of the business plan. There are three methods used for the company valuation - discounted cash flow in the form of FCFF, the method of accounting value and method of similar transactions.
Capital intensity of the selected economic activities in the Czech Republic

The aim of this thesis is to analyse the long-term relationship between the value of the fixed assets and the output of the selected economic activities for the period of the years 1995 and 2009. All economic activities except the industrial ones were selected for the analysis. The thesis contains also evaluation of the assumption of the parametric and Gordon formula for the calculation of the residual value. The output of the thesis is the recommendation of the estimating the investments and alternative practice for the calculation of the residual value. The thesis is also focused on evaluation of the sensitivity of the selected economic activities on the economic conjuncture taking into consideration that economic growth is considered as decisive when planning the future growth rate g of businesses and economic activities.
Convergence processes of profitability and company growth

In this dissertation thesis I analyzed the convergence of the profitability and growth of Czech companies in order to improve the business valuation process. In the first part of this thesis the present theoretical and empirical research of the convergence are described. The main goal was to find facts that prove or disprove the existence of the convergence processes. Another goal was to judge existing income valuation models that use convergence approaches. The second part of my thesis is focused on the empirical studies of growth and profitability. The purpose of this part was to identify the problems (so that they could be avoided in my research), to determine the direction of my research and to find tools that should be useful for the analysis. Simultaneously I tried to find evidence to support or to refute the certain patterns of the development of profitability and growth, such as random process, stability or convergence. Briefly summarized, convergence processes are supported in general and also in specific economic theory, because they result from the existence of the competitive advantages that are necessary to renew. However, empirical studies are focused only on foreign markets and their results differ, mainly in various regions, industrial branches and in time. There is no such analysis compiled for the Czech market, so I deal with the convergence of the profitability and of the growth of Czech companies in the third part of my dissertation thesis. Both characteristics are tested using the panel data and also the time-series of the individual companies. Panel data are tested in order to determine distribution of the dynamics of the profitability and of the growth. At the same time related phenomena, which cohere with some patterns of the development of the observed characteristics, are searched -- such as random process or persistence of profitability and growth. In the tests of the individual time-series I try to identify the patterns of progress of profitability and growth. In this part of thesis I used several tools of the mathematical statistics. From outcomes recommendations for the business valuation were suggested. The process of the elimination of the highest level of the profitability and growth is fast. The research confirms that the individual growth and profitability of most of the companies is random. Certain indications of persistence of the profitability were found in the case of relevant number of companies in the medium period, but not in long term. The persistence of the growth is rare not only in long period but also in the medium period. From the results of this thesis that can be highlighted, it was proven that the models based on convergence process can be used only in the case of subjects that achieve stable and high level of the profitability. If there is indicated the random process of the profitability in majority of subjects and if there is possible the convergence by the oscillation, the unsuitable application of the convergence process will lead to great mistake.
Valuation of employee stock options in accordance with IFRS 2 at fair value basis

This master's thesis is dealing with the topic of employee stock options (ESOs), primarily with the valuation of ESOs in accordance with the accounting standard IFRS 2 at corresponding fair value basis. The goal of this thesis is a critical analysis of the standard mentioned, with respect to the conditions of the Czech Republic. The theoretical part comes with the basic characteristics of employee stock options and explains how the traditional option-valuation models can be modified for the purpose of ESOs valuation. It is also concerned with discussion about fundamental features of the fair value basis necessary for the valuation process. The essential part of this thesis is the critical analysis focusing on the rationality of accounting methods, disclosure requirements and also on a theoretically correct determination of model inputs. Critical analysis is followed by case study aimed on evaluation of an authentic option plan. The practical part also demonstrates advanced methods of valuation using the Black-Scholes and the binominal models as well as the Monte Carlo simulation. In the conclusion, I present proposals for changes of the IFRS 2. According to the results of the critical analysis, supported by case study, greatest shortcomings were identified in the disclosure requirements. Proposals for changes are aimed mainly on this problem.
Business Valuation Using Simulation

The following thesis is focused on the use of Monte Carlo simulation in business valuation. It examines the theoretical context of the valuation process and simulation techniques and subsequently applies these to the valuation of Plzeňský Prazdroj, a. s. as of 31.3.2008. The aim was to explore the potential of application of Monte Carlo simulation and to interpret obtained information. There was created the valuation model and performed sensitivity analysis based on which there were identified factors which have significant impact on the value. These were further investigated and characterized in terms of probability. Following the extension of the model to include uncertainty factors there was simulated business value in relation to the variability of uncertainty factors and the result was subsequently interpreted. It was concluded that Monte Carlo simulation may be useful predominantly in search for subjective value for investor due to additional information obtained.
Valuation of Commercial Insurance Companies with Focus on Relative Valuation

Considering the insufficient current state of theory in the field of the insurance companies' valuation, the aim of this dissertation thesis was firstly to comprehensively analyze issues of commercial insurance companies' valuation and secondly to develop an appropriate body of knowledge that could contribute to the development of a practical methodology to be used in valuation practice. This dissertation thesis is divided into three consecutive parts. The first part assessed the accounting issues of commercial insurance companies with an impact on financial analysis and planning and on further procedure of insurance companies' valuation. In this section, the structure of financial statements of insurance companies was described and specific items of financial statements were discussed, especially concerning financial investments and technical reserves. The book keeping methods, reporting and testing while abiding to the Czech accounting regulations were analyzed. As well as, different accounting procedures required by IFRS or US GAAP were pointed out. Moreover, specific ratios convenient for a financial analysis of insurance companies were recorded. For an overall rating of the financial health, the value creation test was suggested in an equity form. Subsequently, the value drivers of insurance company were identified and recommendations for the complex processes of financial planning were given. Such a complex financial planning process should include a strategic analysis applicable for the purposes of a premium growth rate forecast. The second part includes the various methods of valuation, such as income approach, asset approach and relative valuation. Application of conventional valuation techniques was assessed and necessary modifications of classical methodology were suggested with respect to the specifics of the insurance market. Special attention has been paid to the fair value reporting of certain balance sheet items, as well as the creation of hidden reserves, respectively hidden debt. Modifications of valuation formulas were stated and/or suggested per each introduced method. The scope of this part also included methods of Embedded Value and Appraisal Value, which are used in practice for reporting purposes in the fields of life insurance, and their applicability in the field of business valuation was then assessed. The third part contains an extensive empirical study that focuses on one of the methods of the valuation multiples estimation, for the purposes of life insurance companies, namely so-called sector regressions. Analysis and testing were performed on historical data of traded life insurance companies from Europe, the USA and Canada for the period of 2000 to 2011. Only profitable companies were taken into account in each given year. Data were drawn from S&P Capital IQ database. Multiples MV/E, MV/BV, MV/Prem and D/MV, which were identified as utilizable (dependent variables) in the theoretical part of this thesis, were tested together with 13 financial indicators of life insurance companies (independent variables). Extreme observations of the tested multiples, as well as the indicators, were removed. The major outcome of this empirical study is firstly an identification of key financial indicators which have a major impact on valuation multiples of life insurance companies, and secondly, computation of time consistent regression formulas. Such formulas make for a relatively simple tool for the estimation of valuation multiples (and subsequently market value) of non-traded life insurance companies based on key financial indicators.
Enterprise human assets valuation with a special focuse on human assets valuation of a knowledge enterprise

The dissertation focuses on the valuation of human assets for the purpose of business valuation. The introduction section contains, among others, search of knowledge about the human capital valuation including an identification of "empty spaces" in the business valuation theory in connection with the valuation of human assets. The main aim of the dissertation is the theoretical and experimental development of selected "empty spaces" which were divided into two levels - direct (separate) valuation of human assets and indirect (implicite) valuation of human assets through enterprise valuation methods DCF and EVA. The theoretical section includes a treatise on the status of human assets (human capital) within the intellectual capital and the absence of human assets in the financial statements which are coming to the conclusion that human assets should be incorporated as a separate item in net operating assets of the enterprise in DCF and EVA valuation methods. The dissertation analyzes various definitions of human capital and subsequently on the basis of specific design requirements derives definition of human assets for the purposes of business valuation. The experimental section provides descriptions and analyzes of available methods/models for human assets (human capital) valuation. Subsequently, the derived modified income approach valuation for the direct valuation of human assets includes proposals for an allocation of revenues attributable to human assets, an incorporation of the quality element of human assets assessment to a forecast of future revenues which are attributable to human assets and the specific discount rate for human assets. In the framework of indirect valuation of human assets (in DCF and EVA methods), the attention is aimed to a design of variant options of financial value of human assets incorporation into the net operating assets (among others, these part also contains a proposal of a theoretical basis for determining of human assets market value) and adjustments of economic reports: net operatig assets (NOA) and net operating profit after tax (NOPAT). The variant incorporation of human assets into the NOA is analysed especially for the purpose of finding out changes in the distribution of the enterprise value between NOA and market value added and changes in the profitability of the invested capital compared to the situation when no financial value of human assets is incorporated into the NOA. The final section is focused to a proposal of recommendations for human assets valuation. The recommendations include a part for the direct valuation of human assets (cost and revenue approach) and the indirect valuation of human assets through DCF and EVA valuation methods.
Testing market approach using regression equations to estimate the market multipliers for software companies

Ph.D. thesis deals with testing precise use market approach to the valuation of software companies. Contains justification for the need of dealing with less traditional valuation methods, theoretical approaches for the use of market multipliers and existing knowledge to regression analysis is used to explain the multipliers. The analytical part is assembled its own regression equation to determine the multiplier in the years 2004-2010, the usability was tested in comparison with the use of a multiplier based on the median level of comparable sample of firms. There was also objective to determine the preferred type multiplier for software companies, which can be used e.g. when using scoring methods to adjust the multiplier. Complementing the thesis was to compare the quality of its own regression equations and equations published by Professor Damodaran. In most years through its own regression equations managed to establish a more precise multiplier than was achieved by using the mean value of a comparable sample of firms. We were also able, in most years to find suitable regression equation than the equation published by Professor Damodaran. Type multiplier P/E appeared to be significantly better to explain the regression equation in comparison with the other types of multiplier.

The thesis consists of 5 parts: Strategic Analysis, Financial Analysis, Valuation of Software OmnixCMS, Analysis of value generators and Valuation. The paper used valuation methods EVA Entity and market comparison method. The work also includes valuation of an intangible asset for valuation purposes by EVA Entity.
Business valuation of VAFO PRAHA Ltd.

The objective of the thesis is to determine the market value of the company VAFO PRAHA Ltd. as of 1. 1. 2012. VAFO PRAHA manufactures and sells pet food, in the Czech republic and all over the world. The thesis is divided into following parts: strategic and financial analysis, generators of value, financial plan and business valuation. The valuation is based on the EVA Entity method and as a support an EBITDA multiple was used. The final value spread is determined by the alternative scenarios of the EVA Entity method.
