Election and removal of members of the governing and supervisory boards of a joint stock company from a com- parative perspective The diploma thesis deals with the ways of the appointment and removal of the members of the governing and supervisory boards of a joint stock company in the Czech Republic and in Great Britain. It focuses on three main areas: the appointment, removal and the eligibility of members of the governing and supervisory boards of a joint stock company. The aim of the thesis is not only to describe the Czech and British legal provisions on these topics, but also to compare and evaluate them. Within the scope apart from other things it attempts to answer these questions: whether the new Czech Companies Act which will come into force on the 1st January 2014 has been influenced to some extent by the British Companies Act 2006 or whether British pattern did not offer any inducement to any change. The thesis consists of seven chapters. The first three chapters analyse legislation of the Czech Republic. They describe legal provisions of the cur- rent Commercial Code and compare them with the provisions of the new Companies Act and the new Civil Code. The next three chapters describe British law. Collective dominance in competition law and its abuse

The aim of the diploma thesis is a comprehensive analysis of the concept of collective dominance, in particular with reference to the evaluation of its applicability and utility in practice. The first chapter deals with the main features of the oligopoly market and Czech and European legal provisions on the abuse of a dominant position and mergers within which it has evolved. On base of the analysis of Court of Justice and General Court judgements the second chapter explains the notion of the collective dominance and examines the obligatory conditions of the collective dominance, as well as the factors which influence these conditions. The third chapter concerns the concept of collective dominance with regard to competition law taxonomy. It compares not only the test of collective dominance applied pursuant to the article 102 TFEU with the test applied according to the Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings, but also the concept of collective dominance with the agreements pursuant to the article 101 TFEU. It also deals with abusive practices typical for oligopolies. Beside the explanation of the UK legislation the last two chapters illustrate decisions of competition authorities in the Czech Republic and in the United Kingdom and analyse and compare them. The diploma thesis is concluded by the analysis of main shortcomings of the concept of collective dominance and the evaluation of actual state of the examined topic with the aim to abstractly summarize knowledge gained through the thesis.
Takeover bid

The bachelor thesis deals with legal form of a takeover bid. In the first instance the definition and the fundamental division of takeover bids are specified. The following chapter concerns the purpose, functions and the economical nature of takeover bids. The chapter concerning European legal form treats the Directive 2004/25/EC of the European Parliament and of the Council of 21 April 2004 on takeover bids. The main part of the thesis devotes legal form of takeover bids in the Czech Republic. It focuses on the Act No. 104/2008 on takeover bids and on amendments of other acts. In the chapter entitled "Mandatory bid" essential specifics are explicated. The order of chapters illustrates the whole process of a takeover bid.
