Choice of law and jurisdiction in international commerce

Práce představuje nejdůležitější právní instrumenty upravující problematiku smluv 0 volbě soudu a práva v mezinárodním obchodu. Bylo jasně ukázáno, že evropské mezinárodní právo soukromé je čím dál tím důležitější nejen v evropském ale i celosvětovém kontextu, neboť ES v současnosti tvoří největší ekonomický subjekt světa. Vedle toho, žejsou právní instrumenty evropského mezinárodního práva soukromého, jako Nařízení Brusel l, obecně vnímány jako jedny z největších úspěchů legislativní činnosti ES, jsou tyto instrumenty přijímány i evropskými podnikateli, kteří je hodnotí jako velmi přínosné. Tato stanoviska byla v poslední době potvrzena například i přistoupením Velké Británie k Nařízení Řím l, a to po dlouhé debatě vlády Velké Británie s podnikatelským sektorem především v Londýně. Tato debata jasně prokázala, že celoevropská úprava mezinárodního práva soukromého nepoškodí ani taková centra světového obchodu jako je Londýn, ale naopak jim přinese komparativní výhodu zvýšením právní jistoty. Přijetím Nařízení Řím l též Velká Británie podpořila víru vmožnost nalezení kompromisu mezi přístupem common law a kontinentálních právních systémů k mezinárodnímu právu soukromému. Duty od Care of Members of Statutory Bodies in Capital Business Companies and its Relation to Internal Compliance Programs

The purpose of this dissertation is to provide its readers with a detailed and comprehensive look at the institute of duty of care, business judgment rule and related civil and partly also criminal liability of members of (not only) statutory bodies of capital business companies, and in this respect also to introduce an internal compliance program as one of the main instruments of good and effective corporate governance. The main objective of this dissertation is therefore to verify or refute the hypothesis whether, and if so in what particular form, can an internal compliance program be seen as an institute helping members of statutory bodies of capital business companies in fulfilling specific requirements and obligations of their duty to carry out the statutory function with due (managerial) care. The existence (implementation) of an internal compliance program is quite commonly connected with so called regulated markets and also with individual business corporations whose ownership structure extends the boundaries of the Czech Republic (typically British or American business corporations seated in the Czech Republic). But what about a wide neutral zone of Czech business corporations, i.e. especially small and medium-sized capital business companies? Shall these implement an internal compliance program as well? And, if so, on what grounds and with what benefits?
The Conclusion of a Contract under the United Nations Convention on Contracts for the International Sale of Goods in Comparison with Czech National Legislation

This Master's thesis focuses on the United Nations Convention on Contracts for the International Sale of Goods (CISG), better known as the Vienna Convention. The main purpose of this thesis is to evaluate conditions for application of this international treaty and to assess the contracting process under the CISG including the similarities and differences with the Czech national legislation. Finally, it seeks an answer to the question, which of these rules (international or national) are more advantageous for a Czech contractual party with respect to concluding a contract. The thesis is divided into five parts. The first one represents an introduction to the CISG, its origin and the Czech Republic's attitude to it. The second part identifies the conditions for application of the CISG and therefore defines a subject and an object of an international contract of sale under the CISG. Both third and fourth parts gradually introduce two phases of the contracting process (offer and acceptance) including the relevant case-law. The last chapter strives to complete the contracting process with an analysis of the exact moment, when a contract is concluded, as well as with an analysis of a potential battle of the forms and its impact on a contract conclusion.

The aim also is specify the efficiency of this legal aspects and review sufficiency of protection of consumers. Further explain the issue of spamming, find out its benefits to the retailer and negative aspects for consumers, and also to compare legal aspects of spamming with legislation in Russia.i
Songwriters and copyright and other related rights of performing artists and the way they exercise them in their practice

This thesis is focused on copyright as it is exercised by musicians. The goal of this thesis is to find out more about the Czech copyright law awareness among the existing as well as future songwriters and other performing musicians and artists. Based on answers provided by particular respondents musicians as well as anonymous respondents from among those who study music and arts, the thesis attempts to find a solution, elements and changes to an amendment to the copyright law so that musicians and performers could pursue their jobs better, and the law would reflect their views on the particular topics. The goal is to find out how deep the copyright awareness among the musicians and artists is, what particular difficulties as well as advantages arise from the law, and what changes could be incorporated into an amendment to the copyright law.
Legal aspects of consumer protection when shopping online

The thesis deals with the issues of consumer protection when shopping online. The aim of the thesis is to find out what problems the consumer can encounter when shopping online, look into the options of their legal solution and finally advise consumers on how to prevent or solve possible problems. The thesis also deals with the basic obligations of the sellers, advantages and disadvantages of shopping online, institutions of consumer protection and the judicial and out-of-court proceedings. Results of a questionnaire study conducted by the author are presented at the end of the thesis.
Russian and Czech specifics of copyright protection in the sphere of audiovisual works

The significant part of the diploma thesis is oriented on the aspects of audiovisual content copyright law and the illegal usage in two countries, such as Czech Republic and Russia. The main task is to concentrate on pros and cons of their copyright law protection against content rights infringing, i.e. piracy. For deeper analysis, Czech and Russian laws investigation in details is to be made in relation to the law enforcement to the audiovisual content. Then the comparison of the punishments for the copyright law infringement is to be provided and the results of antipiracy activities within appropriate organizations in mentioned countries is to be considered. Subsequently the theoretical part is to be applied in concrete cases of court practices and finally the conclusion of the whole work is to be made. The value of the diploma thesis lies in the attempt of answering the questions, why piracy still exists in the chosen countries. This question is connected to antipiracy actions and their possible obstructions.

This diploma thesis deals with selected legal questions regarding artwork in Czech Republic. Author focuses on artwork from copyright and civil legal perspective, specifically author´s rights and copyright and its legal protection (civil, administrative and criminal). It also addresses questions concerning licenses and licensing agreements, relation between artwork and its material object, buying and selling artwork, purchase agreement and other types of contract that artists usually encounter. The aim of this thesis is to identify the current state of legislation in this matter and issues that need to be addressed. Among other methods, author used a comparative method and a research in a form of survey in this thesis.
