Delipment of a new synthetic approach for synthesis of isoquinoline alkaloids
Pašek, Dominik ; Kotora, Martin (advisor) ; Pour, Milan (referee)
This bachelor work is focused on synthesis of a specifically substituted isoquinoline core which is the fundamental structure of natural isoquinoline alkaloids. The main aim is development of a new method for a synthesis of molecules with the isoquinoline framework which could lead to a more efficient way of total synthesis of these important natural substances. The main subject of interest is a cyclization providing a substituted piperidine ring condensed with the tetrahydroisoquinoline core. Zirconocene-based chemistry is used as the crucial synthetic step. Following the development of this new synthetic method, the goal was to study possibilities of cyclization of substituted 1,7-dienes by using the Negishi's reagent. Effects of temperature, reaction time, amount of Negishi's reagent on the course of the reaction as well as stereochemistry of the cyclization were studied. Key words: alkaloid, isoquinoline, synthesis, cyclization, zirconocene, Negishi's reagent
Share pledge in a corporation
Pašek, Dominik ; Elischer, David (advisor) ; Frinta, Ondřej (referee)
Share pledge in a corporation Abstract The thesis deals with the share pledge in a corporation. In the beginning I analyse the meaning and purpose of the lien. The following section deals with pledgeability of a share in a corporation. Firstly, I discuss the pledgeability of a share as an intangible movable asset that represents a set of rights and obligations arising from participation in a corporation and, further, the share pledge in each type of corporation, including the association and unit owners' association. The different rules for shares depend on whether they are in a form of a security or not. Subsequently, I deal with the formation of a lien, while focusing on the various titles from which the lien can arise and the question of the moment of creation of the lien. I analyse in detail the creation of a consensual lien, i.e. on the basis of a pledge contract. This is followed by the creation of an ex actu lien on the basis of a court's approval of an agreement of the heirs to divide the estate, and on the basis of a tax administrator's decision pursuant to the Tax Code, where I also provide practical information communicated by the General Financial Directorate. Then I analyse the ex lege lien, and I deduce several options where it could theoretically arise. In the part of the work that I consider...

Released share
Pašek, Dominik ; Eichlerová, Kateřina (advisor) ; Čech, Petr (referee)
The subject of this master thesis is a released share. The paper is divided into 2 main parts which correspond with 2 main goals of this thesis - a detailed analysis of general provisions on a released share and analysis of the collision of provisions governing the released share and a share pledge. In the general part of the thesis, the released share is described thoroughly, as well as the process of how the companies have to deal with it. The structure of the general part follows the structure of the Business Corporations Act. Firstly, the released share is described, followed by the sale of released share with all its problems, settlement share and the process the company follows after the settlement share is paid out, i.e. the transfer of the released share to the remaining members or reduction of registered capital. In the general part of the thesis I also compare the effective legislation and the amendment of Business Corporations Act which is being prepared at the time of writing this paper and which could bring solutions to many problems arising out of the effective legislation. In the special part, which I assume to be the key part of this paper, I analyse the collision of regulations of released share and share pledge. To begin with, I describe the rights of the pledgee to the released pledged...
