Selected economic and legal aspects of mergers and acquisitions in the Czech Republic Abstract The aim of this diploma thesis is to describe selected economic and legal aspects of mergers and acquisitions and assess them. In the first part, the diploma thesis focuses on defining the terms of mergers and acquisitions and their classification. Forms of mergers and acquisitions are distinguished and their types based on market position of participating companies are explained. In the second part, the diploma thesis describes motives leading to mergers and acquisitions. The main motive is synergy, a phenomenon of increasing the value of participating companies by merging them. Furthermore, the waves in which mergers and acquisitions were emerging are listed, including the seventh wave which peaked last year. The third part of the diploma thesis focuses on mergers and acquisitions on the Czech market. At first the comparison within the region is provided and afterwards the thesis deals with development over time, mix of industries and largest transactions of last years. Czech Republic is one of the most active countries in the region from the perspective of value of transactions. The most common economic myths through the prism of liberal economic schools Abstract The thesis analyses the two grand, persisting economic myths - the myth of just price and the myth of immorality of profits, vis-à-vis the work of scholarly economists, mainly of the liberal persuasion. This broad intellectual current of economic thought is represented by the so called Chicago school of economics, represented by Thomas Sowell, and the so called neo- Austrian school of economics, represented by Ludwig von Mises. The second part of the thesis deals with the myth of just price and it`s presence throughout our history, from ancient Babylon to today`s Venezuela. Since it took almost 2000 years for this myth to be dispelled by economic thought, a brief history of such thought has been incorporsted into the thesis, beginning from Aristotle, through Thomas Aquinas to Alfred Marshall. A big part of this brief history is then dedicated to the so called marginal revolution and the effects thereof. The end of the second part of the thesis concerns itself with the thought of liberal economists, whose work was at least partly dedicated to dispelling of the myth of just price and other economic myths. 77 Abstract Economic and Legal Aspects of Corporate Governance with regard to the Impacts of the Financial Crisis in 2007 - 2009 This thesis deals with the impact of the financial crisis that occured from 2007 to 2009 on corporate governance of the United States, the United Kingdom, the Czech Republic, the OECD and the European Union. Even before the financial crisis, companies like Enron or WorldCom has already shown the need to regulate corporate governance but the responses to those bancrupts have not been sufficient because they could not prevent the financial crisis a few years later. The financial crisis is regarded as well as a crisis of corporate governance and the aim of this work is to analyze this crisis and its solution. The thesis is divided into 8 chapters, where the first chapter briefly gives definitions introduces the issues of corporate governance and the second chapter briefly describes the causes and course of the financial crisis. The next chapters deal with the impact of the crisis on corporate governance where the main topics addressed are compensation, risk management, practices and responsibilities of the board and the role of shareholders. How to found an enterprise (legal and economic aspects) Abstract The object of this thesis is the founding of an enterprise from legal and economic viewpoint. Entrepreneurship in the Czech Republic evolved a lot since the Velvet revolution, legislatively and in the way entrepreneurs behave on the market. The Czech Republic joining the European Union had a huge impact on entrepreneurship, thanks to the harmonisation of the internal market and even through new types of companies available. The goal of this thesis is to help new entrepreneurs found an enterprise, to choose the correct legal framework and create a business plan. The focus is on saving financial and time costs. In the first part the legislature concerning enterprise in the Czech Republic is presented focusing on effective laws, despite mentioning the legislature before the civil law recodification from 2014. Enterprise, entrepreneur and companies are described in detail in the second part as the basic terms connected to founding an enterprise. The analysis is focused on the legal framework for lobbying and its wider implication for the society. It also aims to answer further questions: what lobbying methods are being practiced, who the key players are and what economic and juridical tools are available for the regulation of lobbying. In order to address the last of these questions, it was essential to explore both the latest and historical legal alterations of lobbying. The author also focuses on the juridical and economic consequences derived from the latest lobbying laws and regulation abroad and impacts of the juridical and economic tools that are currently in use. This thesis further explores the current juridical state of lobbying within the Czech Republic and its potential development. Lobbying - Economic and Legal aspects Abstract The diploma thesis deals with lobbying and its economic and legal aspects. The aim of the thesis is to present lobbying from a broad perspective in the context of other regulations by using descriptive, comparative and analytical methods and to provide a comprehensive overview of the development of efforts to regulate lobbying in the Czech Republic. Particular attention is paid to the analysis of the last governmental regulatory initiative where I am testing a hypothesis of whether the underway regulation is systemically correct in light of examples in other countries. I also conducted two surveys aimed at finding out the attitudes of members of the law academia and members of the lower house of the Parliament of the Czech Republic to the regulation of lobbying in the Czech Republic. The data serve both to (i) illustrate the interpretation of lobbying across the work, (ii) but also because of the specific proposed variant of lobbying within the framework of the approved substantive intent of the lobbying law (the deadline for submitting a paragraph to the government is set to end 2018), and (iii) I believe that they can be useful even when finalizing the bill, or other later proposed measures under the de lege ferenda considerations on lobbying. Inflation Targeting as a Monetary Indicator of Central Banks Abstract The diploma thesis on the subject "Inflation Targeting as a Monetary Indicator of Central Banks" aims to compare the successfulness of the inflation targeting executed by the Czech National Bank and the European Central Bank. Inflation targeting as a monetary- political regime was used for the first time almost 30 years ago and its merit is to influence the inflation rate based on the adjustments of short-term interest rates and the stabilization of inflation expectations. It is based on the accountability of central banks to fulfill the set target, their transparency and communication with the public, for example via publishing the macroeconomic prognoses. The first chapter of the diploma thesis aims to define the term central bank and inflation targeting. It deals with the purpose of central banks, their instruments to pursue monetary policy, independence and accountability of central banks, and determines the rule of central banks' monetary policy. Non-standard Monetary Policy Instruments of Central Banks Abstract The aim of this study is to analyze non-standard monetary instruments of central banks and their impact on the example of concrete use of these instruments by the Czech National Bank and the European Central Bank. The first part of this study defines the essence, the implementors, the tasks, and the objectives of the monetary policy. Its tools are also disassembled, both standard and nonstandard. From non-standard instruments, closer attention is paid to the theoretical definition of quantitative easing, negative interest rates and long-term maintenance of the exchange rate commitment. I also deal with the legal anchor, organization, purpose, history, and concept of the monetary policy of two selected central banks, namely the CNB and the ECB. The next part of the study presents the concrete form of non-standard measures used by the CNB and the ECB, it deals with the specific reasons that the central banks led to their implementation, the objectives with which they were adopted and the impact these measures had on the Czech economy and the euro area.
