Hlavním cílem této práce je identifikace a následná analýza problematických aspektů pojících se k právům z vadného plnění při B2B koupi. Ta bude z povahy věci zasazena do komplexní deskripce práv z vadného plnění. V práci je přihlíženo k relevantní judikatuře soudů a národní, evropské a mezinárodní úpravě a textům. Práce je strukturována do devíti kapitol zahrnujících úvod i závěr. Tyto kapitoly jsou systematicky členěny tak, aby čtenáři komplexně představily institut práv z vadného plnění a v průběhu pravidelně umožnily identifikovat problematické aspekty práv z vadného plnění. V takových případech je problematika vždy důkladně analyzována, uvedeny relevantní názory odborné veřejnosti, ty kriticky hodnoceny a představen vlastní názor autora a možná výkladová východiska. Práce je uvozena úvodem, na který navazuje druhá kapitola vymezující kritéria, která jsou určující pro stanovení právního režimu B2B koupě. Úvodem třetí kapitoly je vysvětleno, proč autor neužívá tradičního pojmu odpovědnosti za vady, nýbrž pojmu povinností a práv z vadného plnění. Dále se tato kapitola zabývá vadným splněním, dispozitivní povahou povinností z vadného plnění, zárukou za jakost a možností limitace práv z vadného plnění. Je v ní kladen důraz i na různé korektivy limitující smluvní volnost, které se vážou k úpravě... The main goal of this thesis is to identify and analyze problematic aspects of rights arising from defective performance in B2B sale. The analysis is set into a complex description of rights arising from defective performance. The work reflects relevant decisions of courts, national, European and international legal regulations and other texts. The thesis is divided into nine chapters including introduction and ending. The chapters are divided systematically in order to complexly introduce rights arising from defective performance to a reader, while problematic aspects of mentioned legal institute are continuously presented to a reader. In such cases those aspects are always analyzed, relevant propositions of a professional public are discussed, the author critically examines them and presents his own propositions and possible interpretation points of departure. After the introductory chapter the author defines criteria, which are deciding for a legal regime of B2B sale. At the beginning of the third chapter the author explains reasons, why he is using term obligations and rights arising from defective performance instead of a traditional term liability for defects.
