Shrnutí - Průběh valné hromady akciové společnosti Tato diplomová práce, tematicky rozdělená do čtyř kapitol, je zaměřena na průběh valných hromad českých akciových společností, tak jak ji upravuje zákon č. 90/2012 Sb., o obchodních společnostech a družstvech a v některých dílčích záležitostech rovněž zákony jiné. Cílem této práce pak je popsat jednotlivé otázky průběhu valné hromady a to od jejího svolání, přes její průběh (v užším smyslu) až po její rozhodnutí. Tato práce se předně opírá o studium dostupných pramenů v podobě odborných učebnic, komentářů, článků a samozřejmě také o studium bohaté soudní judikatury, která se k tomuto tématu vztahuje. Při tvorbě této práce bylo tedy užito zejména metody analytické a v některých jednotlivých otázkách rovněž metody komparativní. Valná hromada akciové společnosti, jakožto její nejvyšší orgán, rozhoduje o zásadních otázkách společnosti a zároveň slouží akcionářům, kteří se jejím prostřednictvím mohou podílet na řízení společnosti. Z tohoto důvodu je právní úprava valných hromad akciových společností poměrně podrobná. Přesto se však neobejde bez řady výkladových problémů, čehož je četná soudní judikatura k tomuto tématu důkazem. Tyto výkladové nejasnosti pak, ač zajímavé z hlediska teorie, mají přesahy do praktického života společností a narušují jejich právní... - The course of a general meeting of a joint-stock company This diploma thesis, thematically divided into four chapters, is focused on the course of general meetings of Czech joint-stock companies as governed by the Act no. 90/2012 Coll., on Commercial Companies and Cooperatives as well as some other Acts in specific matters. The goal of this thesis is to describe the individual topics and issues related to the course of a general meeting beginning with its convocation, through its course (in strict sense) and ending with adopted resolution. This thesis works primarily with all the accessible information sources such as available study books, legal commentaries, articles and especially the relevant case law of Czech courts related to the topic of this thesis. Analytical and partly comparative methodology was used for the purpose of writing this thesis. General meeting of a joint-stock company as it supreme corporate body decides on the fundamental issues of the company and at the same time serves the company's shareholders, which are (through the general meeting) able to participate on the management of the company.
